Opinion of Counsel for Xxxxxx. Faegre Drinker Xxxxxx & Xxxxx LLP, counsel for Xxxxxx, shall have furnished to the Underwriter, at the request of Xxxxxx, its written opinion, dated the Closing Date and addressed to the Underwriter, in form and substance reasonably satisfactory to the Underwriter, to the effect set forth in Annex B-3 hereto.
