No Set-Off/Suspension Sample Clauses

No Set-Off/Suspension. No Party shall have any right to set-off any Losses in respect of which indemnity may be sought under this Agreement against any payments to be made by any other Party pursuant to this Agreement, the Transition Services Agreement, any other agreement by and between Buyers or any of their Affiliates and Parent or any of their Affiliates, or otherwise. During any time when the Loan Amount has not been repaid in full with interest as provided in Section 1.5 hereof, the Parent’s and its Affiliates’ obligation to indemnify Buyers under this Agreement shall be suspended until such Loan Amount is repaid in full.

  • No Set-Off The Company's obligation to make the payments provided for in this Agreement and otherwise to perform its obligations hereunder shall not be affected by any circumstances, including, without limitation, any set-off, counterclaim, recoupment, defense or other right which the Company may have against the Employee or others.

The Issuer, the Note Registrar or the Indenture Trustee may require the Noteholder to pay an amount to cover taxes or other governmental charges that may be imposed for the registration of transfer or exchange of the Notes.
