No Regulatory Review. 13.1 The Lender understands that neither the Securities Regulators nor any federal or state agency has passed upon or made any recommendation or endorsement of an investment in the Notes or the underlying Notes.
No Regulatory Review. The Bond Holder understands that no United States federal or state agency has passed on, reviewed or made any recommendation or endorsement of the Shares issuable hereunder.
No Regulatory Review. Buyer understand that no US or foreign federal or state agency has made any finding or determination as to the fairness of the terms of an investment in the Shares, or any recommendation for or endorsement of the Shares being purchased pursuant to this Agreement; and,

The Investor understands and acknowledges that no securities commission or similar regulatory authority has made any finding or determination regarding the fairness of the offer, sale or issuance of the securities described herein, has made any recommendation or endorsement of the offer and sale of the securities described herein or has reviewed or passed in any way upon this Agreement or upon the merits of the securities described herein.

The Subscriber is aware that this Subscription Agreement relates to a limited private offering and that no federal, state or other agency has made any finding or determination as to the fairness of the investment described in this Subscription Agreement nor made any recommendation or endorsement of the investment.

No Regulatory Review. No Governmental Authority has reviewed or passed on the merits of the Purchased Shares. The Company is relying on an exemption from the requirement to provide the Purchaser with a prospectus under applicable Securities Laws and, as a consequence of acquiring the Purchased Shares pursuant to such exemption, certain protections, rights and remedies provided by applicable Securities Laws, are available to the Purchaser.
