No Governmental Authority of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any statute, rule, regulation, judgment, decree, injunction or other order which is in effect, which would prohibit consummation of the transactions contemplated by this Agreement or which would have a NeoStem Material Adverse Effect after the Effective Time and after giving effect to consummation of the transactions contemplated by this Agreement.
No Governmental Authority has notified Seller of its application to be certified to regulate basic service rates with respect to the System as provided in 47 C.F.R. Section 76.

No Governmental Authority stock exchange or other entity has reviewed or made any finding or determination as to the merit for investment of, nor has any such Governmental Authority, stock exchange or other entity made any recommendation or endorsement with respect to, the Everton Shares, and any representation to the contrary is a criminal offence.
No Governmental Authority of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Law or Order (whether temporary, preliminary or permanent) that is in effect and restrains, enjoins or otherwise prohibits the Share Purchase and the other transactions contemplated by this Agreement (each, a “Governmental Prohibition”), and no person shall have instituted any Proceeding seeking any Governmental Prohibition that, if enacted, issued, promulgated, enforced or entered, would, individually or in the aggregate, have a Material Adverse Effect.
No Governmental Authority of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any statute, rule, regulation, judgment, decree, injunction or other order which is in effect, which would prohibit consummation of the transactions contemplated by this Agreement or which would result in a Purchaser Material Adverse Change or a Company Material Adverse Change after the Closing Date and after giving effect to consummation of the transactions contemplated by this Agreement.
No Governmental Authority. As of the Purchase Date, the Underlying Obligor with respect to such Purchased Loan is not a Governmental Authority.
No Governmental Authority of competent jurisdiction located in the United States shall have enacted, issued, promulgated, enforced or entered any statute, rule, regulation, judgment, decree, injunction or other order of any nature that prohibits, enjoins or restrains the consummation of the Exchange.
No Governmental Authority nor any other person, has notified any of the EDS Entities in writing in the past five (5) years of any actual or alleged violation or breach of any statutory and regulatory requirements relating to export controls or trade sanctions.
