No Reduction. There shall be no material reduction or diminution of the benefits provided in this Section 5 (i) unless the Executive shall have given his prior written consent to such reduction or diminution and an equitable arrangement (embodied in an ongoing substitute or alternative benefit or plan) has been made with respect to such benefit or plan or (ii) except, in the case of Section 5(a), for across-the-board benefit reductions similarly affecting all senior management personnel of the Company.
