No Proceedings; No Injunctions. There is no litigation, proceeding or investigation pending or, to the knowledge of Holdings, threatened against Holdings or any properties of Holdings, before any Governmental Authority (i) asserting the invalidity of this Agreement or any other Transaction Document, (ii) seeking to prevent the consummation of any of the transactions contemplated by this Agreement or any other Transaction Document or (iii) that could reasonably be expected to be adversely determined, and, if so determined, either individually or in the aggregate would reasonably be expected to have a Material Adverse Effect. No injunction, writ, restraining order or other order of any nature adversely affects, in any material respect, Holdings’ performance of its obligations under this Agreement or any Transaction Document to which Holdings is a party.
