No Material Impairment. No Member shall take any action that could impair materially such Member's ability to perform its duties and obligations under this Agreement.
No Material Impairment. The Bank shall have determined that the prospect of payment of the Loans has not been materially impaired.

No Material Impairment. No Governmental Entity shall have entered, enacted, issued, enforced or promulgated any Law or Judgment that would result in a Material Impairment.

The Company shall have completed in all material respects the Impairment Analysis and Reserve Report, and such Impairment Analysis and Reserve Report shall not support or require, and the Company shall not have recognized or reasonably be expected to recognize, any impairments to the Company’s oil and natural gas properties (and/or, to the extent applicable, the Company’s other assets) (for the avoidance of doubt, excluding the $10,707,000 impairment previously taken by the Company in respect of the quarter ended March 31, 2013) which in the aggregate equal or exceed $150 million; provided that in the event that (A) the Impairment Analysis and Reserve Report delivered to the Investors in accordance with Section 5(i) indicates an aggregate amount of such impairments exceeding $150 million (such indicated aggregate amount of such impairments, the “Applicable Amount”) and (B) the Investors nonetheless elect to exercise their right to waive this Section 7(a)(xi) in order to effect the Closing, then the reference to $150 million in Section 3(j) shall instead to be deemed to be the Applicable Amount.
No Material Impairment. No Governmental Entity ---------------------- shall have entered, enacted, issued, enforced or promulgated any Applicable Law or Judgment such that payment or compliance with such Applicable Law or Judgment would constitute a material impairment or diminution of the economic value of the Polyols Business or the PO Assets.
No Material Impairment. Since December 31, 1999, there shall not have occurred any event or circumstance (other than any event or circumstance that has resulted in an increase in the liabilities of Services from December 31, 1999 to the date of the Pre-Closing Balance Sheet) that, individually, or taken together with other facts, circumstances and events, has resulted in, or would be reasonably likely to result in, (i) White Mountains' credit rating (x) by Standard & Poor's Ratings Service ("S&P") falling below the lowest investment grade rating awarded by S&P (which at the date hereof is BBB-) or (y) by Xxxxx'x Investors Service ("Xxxxx'x") falling below the lowest investment grade rating awarded by Xxxxx'x (which at the time hereof is Baa3), or (ii) a decrease in White Mountains consolidated stockholders' equity, determined in accordance with U.S. generally accepted accounting principles, to less than $500,000,000 (the calculation of which shall include the gain on a sale of the FSA Shares at the per share Merger Consideration less applicable taxes as computed under U.S. generally accepted accounting principles per share (each such event or circumstance a "Downgrade Condition")).
No Material Impairment. No Partner shall take any action that could impair materially such Partner's ability to perform its duties and obligations under this Agreement. 14.16
No Material Impairment. Since December 31, 1997, except as ---------------------- disclosed in the Parent SEC Reports, as of the date hereof there has not been any event, occurrence or development which would materially impair the ability of Magellan to consummate the transactions contemplated by this Agreement.
