Modification of Contract Terms and Contract Documents. A. The terms and conditions of the Contract shall govern all transactions by Customers under the Contract. The Contract may only be modified, amended, or expanded by an Addendum. Any change to the Contract, including the addition of work or materials, the revision of payment terms, or the substitution of work or materials, directed by a person who is not specifically authorized by OMES or that is made unilaterally by the Vendor is a material breach of the Contract. Unless otherwise specified by applicable law or rules, such changes including, but not limited to any unauthorized written Addendum, shall be void and without effect and the Vendor shall not be entitled to any claim under the Contract based on those changes. No oral statement of any person shall modify or otherwise affect the terms, conditions, or specifications stated in the Contract.
