Minutes Books. The minutes of the Company made available to the Purchaser contain complete and accurate summaries of all meetings of directors and stockholders or actions by written consent since the time of incorporation of the Company and the respective subsidiaries through the date of this Agreement, and reflect all transactions referred to in such minutes accurately in all material respects.

The minute books of ILSI made available to Simtek ------------- contain true and complete summaries of all meetings of directors and shareholders or actions by written consent since the time of incorporation of ILSI, and reflect all transactions referred to in such minutes accurately in all material respects.

Minutes Books. BSCA shall have delivered to SCB and BOSC the minute books, stock transfer records, corporate seal and other materials and documents related to the corporate administration of BSCA.
