Representations and Warranties of the Group Companies and the Shareholder. A Schedule of Exceptions attached hereto (the “Schedule of Exceptions”) shall be delivered to the Investor in connection with the execution of the Agreement. Except as set forth in the Schedule of Exceptions delivered to the Investor at the Closing, the Group Companies and the Shareholder (each a “Warrantor” and collectively, the “Warrantors”) hereby jointly and severally represent and warrant to the Investor as of the date of this Agreement and as of the date of the Closing as set forth below.
