Merger or Liquidation of the Borrower. Either the Borrower or TMC shall merge or liquidate with or into any other Person other than an Affiliate and, as a result thereof and after giving effect thereto, (i) the Borrower or TMC, as the case may be, is not the surviving Person or (ii) such merger or liquidation would effect an acquisition of or Investment in any Person not otherwise permitted under the terms of this Agreement.

Merger or Liquidation of the Borrower. The Borrower shall merge or liquidate with or into any other Person and, as a result thereof and after giving effect thereto, (i) the Borrower is not the surviving Person or (ii) such merger or liquidation would effect an acquisition of or Investment in any Person not otherwise permitted under the terms of this Agreement, provided that nothing herein or in any other Loan Document shall prohibit a merger between the Company and the Partnership, regardless of which entity is the surviving entity, so long as the surviving Borrower assumes the non-surviving Borrower's obligations under the Loan Documents pursuant to documentation in form and substance reasonably satisfactory to the Requisite Lenders. An Event of Default shall be deemed "continuing" until cured or waived in writing in accordance with SECTION 15.7.
