Manager's Status. Manager is, and shall at all times during the term of this Agreement be, an independent contractor in the performance of its duties and obligations under this Agreement. Manager's Status. Throughout the Initial Term and any Renewal Term(s), the Manager shall qualify as an "eligible independent contractor" as defined in Section 856(d)(9) of the Internal Revenue Code of 1986, as amended (the "Code"). To that end, Manager: (a) shall not permit wagering activities to be conducted at or in connection with the Hotel by any person who is engaged in the business of accepting wage▇▇ ▇▇▇ who is legally authorized to engage in such business at or in connection with the Hotel; (b) shall not own, directly or indirectly (within the meaning of Section 856(d)(5) of the Code), more than 35% of the shares of FelCor; and (c) shall be (or shall, within the definition of Section 856(d)(9)(F), be related to a person that is actively) engaged in the trade or business of operating "qualified lodging facilities" (defined below) for a person who is not a "related person" within the meaning of Section 856(d)(9)(F) of the Code with respect to FelCor or 80 95 Leasehold Owner ( "Unrelated Persons"). In order to meet this requirement, the Manager agrees that it (or any related person) (i) shall derive at least 10% of both its revenue and profit from operating "qualified lodging facilities" for Unrelated Persons and (ii) shall comply with any regulations or other administrative guidance under Section 856(d)(9) of the Code with respect to the amount of hotel management business with Unrelated Persons that is necessary to qualify as an "eligible independent contractor" with the meaning of such Code Section.

  • Student Status Licensee must maintain status as a student registered at Cal Poly with a minimum of eight (8) Cal Poly quarter units or if a graduate student, four (4) units. Exception requests must be submitted in writing to University Housing for approval (or contact the Disability Resource Center if disability related) if Licensee falls below these minimums. Dropping below the minimum is not considered a standard for cancellation and will not release the Licensee from paying any housing-related fees. The University may, at its sole option and discretion, revoke this License in accordance with the provisions herein if the Licensee fails to enroll in the minimum units, or drops below the minimum unit requirement after the beginning of the academic fee period.
