Managers of the Surviving Company. Unless otherwise determined by Parent prior to the Effective Time, the managers of Merger Sub immediately prior to the Effective Time shall be the managers of the Surviving Company immediately after the Effective Time, each to hold the office of a manager of the Surviving Company in accordance with the provisions of Delaware Law and the certificate of formation and limited liability company agreement of the Surviving Company until their successors are duly elected and qualified, or until their earlier death, resignation or removal.

Managers of the Surviving Company. The parties hereto shall take all actions necessary so that the individuals designated in writing by Parent prior to the Effective Time shall, from and after the Effective Time, be the managers of the Surviving Company until their successors have been duly elected or appointed and qualified or until their earlier death, resignation or removal in accordance with the Surviving Company LLC Agreement and applicable Law.
Managers of the Surviving Company. Subject to requirements of applicable Law, Bankrate shall elect the managers of the Surviving Company.
