Maintenance of the Assets. Acquiree shall use its reasonable best efforts to continue to maintain and service the Acquiree Assets consistent with past practice. Acquiree shall not directly or indirectly, sell or encumber all or any part of the Acquiree Assets, other than sales in the ordinary course of business or initiate or participate in any discussions or negotiations or enter into any agreement to do any of the foregoing.
Maintenance of the Assets. From the date hereof until Closing, Seller shall maintain the Assets in customary repair, order, and condition, reasonable wear and tear excepted.

Ensec shall, and shall cause each other Ensec Company to, use its reasonable best efforts to continue to maintain and service the Ensec Assets consistent with past practice. Ensec shall not, and shall cause each other Ensec Company not to, directly or indirectly, sell or encumber all or any part of the Ensec Assets, other than sales in the ordinary course of business or sales to or Encumbrances in favor of any other Ensec Company, or initiate or participate in any discussions or negotiations or enter into any agreement to do any of the foregoing.
Maintenance of the Assets. Sentech shall, and shall cause each other Sentech Company to, use its reasonable best efforts to continue to maintain and service the Sentech Assets consistent with past practice. Sentech shall not, and shall cause each other Sentech Company not to, directly or indirectly, sell or encumber all or any part of the Sentech Assets, other than sales in the ordinary course of business or sales to or Encumbrances in favor of any other Sentech Company, or initiate or participate in any discussions or negotiations or enter into any agreement to do any of the foregoing.
Maintenance of the Assets. RAI shall, and shall cause each other RAI Company to, use its reasonable best efforts to continue to maintain and service the RAI Assets consistent with past practice. RAI shall not, and shall cause each other RAI Company not to, directly or indirectly, sell or encumber all or any part of the RAI Assets, other than sales in the ordinary course of business or sales to or Encumbrances in favor of any other RAI Company, or initiate or participate in any discussions or negotiations or enter into any agreement to do any of the foregoing.
Maintenance of the Assets. IBUI shall, and shall cause each other IBUI Company to, use its reasonable best efforts to continue to maintain and service the IBUI Assets consistent with past practice. IBUI shall not, and shall cause each other RAI Company not to, use its indirectly, sell or encumber all or any part of the IBUI Assets, other than sales in the ordinary course of business or initiate or participate in any discussions or negotiations or enter into any agreement to do any of the foregoing.
Maintenance of the Assets. (a) Seller agrees to maintain the Asset, as it was leading up to sale, through the Completed Migration to the best of its ability. This includes, but is not limited to, maintaining third party links on its website and other websites and any marketing, advertising, or other referral source, if applicable. Seller shall take no active action to remove any third-party links;
Maintenance of the Assets. UniverCell shall use its reasonable best efforts to continue to maintain and service the UniverCell Assets consistent with past practice.
Maintenance of the Assets. From and after the date hereof to the Closing Date, Seller shall: (A) cause the Hotel to be maintained and operated in compliance with all Laws, in accordance with its current standards and consistent with its past operating procedures for the Hotel, shall maintain present services, shall maintain sufficient Food and Beverage Inventory, and Operating Supplies for the proper management, maintenance, operation and servicing of the Hotel and shall continue to market the Hotel and to accept reservations and group bookings at its currently established rates therefor; (B) not sell or otherwise dispose of any significant items of Personalty (other than Food and Beverage Inventory and Operating Supplies in connection with the ordinary course operation or maintenance of the Property) unless replaced with an item of like value, quality and utility; (C) not enter into any service, maintenance, landscaping, operating, repair, equipment lease, employment, management, leasing or other similar contract or agreement relating to the operation or maintenance of the Hotel, except for those entered into in the ordinary course of business and which are cancelable upon not more than thirty (30) days prior notice or in the event of a sale of the Hotel; and (D) maintain in full force and effect all liability and casualty insurance currently in effect. The insurance currently in effect is described in Exhibit F. Seller shall timely perform all its obligations under all Contracts (including, without limitation, the Franchise Agreement), including, without limitation, the payment of all bills, charges, invoices, salaries, benefits, and other expenses arising in connection with the Hotel prior to the Closing Date.
Maintenance of the Assets. IBAH shall, and shall cause each other IBAH Company to, continue to maintain and service the IBAH Assets consistent with past practice. IBAH shall not, and shall cause each other IBAH Company not to, directly or indirectly, sell or encumber all or any part of the IBAH Assets, other than sales in the ordinary course of business or sales to or Encumbrances in favor of any other IBAH Company, or initiate or participate in any discussions or negotiations or enter into any agreement to do any of the foregoing.
