The Long Stop Termination clause sets a final deadline by which a contract must be completed or certain conditions must be fulfilled, after which either party may terminate the agreement if those requirements remain unmet. Typically, this clause applies to transactions or projects with time-sensitive milestones, such as the closing of a business deal or the completion of construction, where delays beyond a specified date could undermine the purpose of the contract.
