Litigation/Bankruptcy. There shall be no pending or threatened litigation by any entity (private or governmental) with respect to the Loan or any documentation executed in connection therewith, nor shall there be any litigation, bankruptcy or other proceedings against any VSE Entity which would reasonably be expected to have a material adverse effect on the condition (financial or otherwise), business, operations, assets or prospects of any VSE Entity on a going forward basis, or that would reasonably be expected to have a material adverse effect on any VSE Entity’s ability to pay and perform the Obligations on a going forward basis.
Litigation/Bankruptcy. There shall be no pending or threatened litigation by any Person (private or governmental) with respect to the Loan or any documentation executed in connection therewith (except for such litigation disclosed to and not objected to by the Administrative Agent prior to Closing), nor shall there be any litigation, bankruptcy or other proceedings which the Administrative Agent believes, in good faith, could reasonably be expected to have a Material Adverse Effect on a going forward basis.
Litigation/Bankruptcy. There shall be no pending or threatened litigation by any entity (private or governmental) with respect to the Loan or any documentation executed in connection therewith (except for such litigation disclosed to and not objected to by the Agent and the Lenders prior to Closing), nor shall there be any litigation, bankruptcy or other proceedings which the Agent and the Lenders’ believe, in their good faith judgment, could reasonably be expected to have a materially adverse effect on the business, property, assets, liabilities, condition (financial or otherwise), results of operations or prospects of the Borrowers on a going forward basis.
Litigation/Bankruptcy. There is no suit, claim, action or proceeding now pending or, to the best of HLA2’s knowledge threatened against HLA2 that would have a material adverse effect on HLA2’s financials or Charter. HLA2 further represents that it has not filed for bankruptcy protection and is not currently under receivership or otherwise the subject of a bankruptcy proceeding.
Litigation/Bankruptcy. There is no suit, claim, action or proceeding now pending or, to the best of XYZ’s knowledge threatened against XYZ that would have a material adverse effect on XYZ’s financials or Charter. XYZ further represents that it has not filed for bankruptcy protection and is not currently under receivership or otherwise the subject of a bankruptcy proceeding.
Litigation/Bankruptcy. There is no suit, claim, action or proceeding now pending or, to the best of HPs’ knowledge threatened against HP that would have a material adverse effect on HP’s ability to perform the Services contemplated by this Agreement. HP further represents that it has not filed for bankruptcy protection and is not currently under receivership or otherwise the subject of a bankruptcy proceeding.
Litigation/Bankruptcy. There is no suit, claim, action or proceeding now pending or, to the best of SIHP’s knowledge threatened against SIHP that would have a material adverse effect on SIHP’s financials or Charter. SIHP further represents that it has not filed for bankruptcy protection and is not currently under receivership or otherwise the subject of a bankruptcy proceeding.
Litigation/Bankruptcy. There shall be no pending or threatened litigation by any entity (private or governmental) with respect to the Loan or any documentation executed in connection therewith, nor shall there be any litigation, bankruptcy or other proceedings against any VSE Entity which would reasonably be expected to have a material adverse effect on the condition (financial or otherwise), business, operations, assets or prospects of any NAI-1513461614v2 VSE Entity on a going forward basis, or that would reasonably be expected to have a material adverse effect on any VSE Entity’s ability to pay and perform the Obligations on a going forward basis.
Litigation/Bankruptcy. (i) To the Company's actual knowledge, except as set forth in Exhibit "N" attached hereto, there are no actions, suits, claims, arbitrations, litigation, proceedings or investigations pending against the Company or the Subsidiaries, which, if adversely determined, might materially adversely affect the condition (financial or otherwise) of business of the Company, any Subsidiary or the condition or ownership of any Property.
Litigation/Bankruptcy. There is no pending action, litigation, condemnation or other proceeding against the Property or against Seller with respect to the Property nor are there any pending bankruptcy or insolvency proceedings against Seller.
