Common use of Lien Searches Clause in Contracts

Lien Searches. The Administrative Agent shall have received the results of recent Uniform Commercial Code and other lien searches in each relevant domestic jurisdiction with respect to all Property of the Loan Parties (except that with respect to the Real Property, such lien searches shall be limited to the Mortgaged Properties), and such search shall reveal no Liens on any of the Property of the Loan Parties, except for Permitted Liens or Liens to be discharged prior to or at the Closing Date.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions in which Uniform Commercial Code and financing statement or other lien searches filings or recordations should be made to evidence or perfect security interests in each relevant domestic jurisdiction with respect to all Property assets of the Loan Parties (except that with respect to in which a security interest may be created under the Real Property, such lien searches shall be limited to the Mortgaged Properties)Uniform Commercial Code, and such search shall reveal no Liens liens on any of the Property assets of the Loan PartiesParty, except for Permitted Liens or Liens to be discharged prior to or at the Closing Datepermitted by Section 7.3.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions in which Uniform Commercial Code and financing statement or other lien searches filings or recordations should be made to evidence or perfect security interests in each relevant domestic jurisdiction with respect to all Property assets of the Loan Parties (except that with respect to the Real Property, such lien searches shall be limited to the Mortgaged Properties)DOC and its Subsidiaries, and such search shall reveal no Liens on any of the Property assets of the Loan PartiesDOC or any of its Subsidiaries, except for Permitted Liens permitted by Section 7.3 or Liens to be discharged on or prior to or at the Closing DateDate pursuant to documentation which shall have been delivered, and shall be satisfactory, to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien, tax lien, judgment and litigation search in each of the jurisdictions or offices in which Uniform Commercial Code financing statements or other filings or recordations should be made to evidence or perfect first priority security interests in all tangible and other lien searches in each relevant domestic jurisdiction with respect to all Property intangible property of the Loan Parties (except that with respect to the Real Property, such lien searches shall be limited to the Mortgaged Properties)Borrowers, and such search shall reveal no Liens on any of the Property tangible and intangible property of the Loan Parties, Borrowers except for the Permitted Liens or Liens to be discharged prior to or at the Closing Dateset forth in Schedule 1.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions in which Uniform Commercial Code and financing statements, or other lien searches filings or recordings should be made to evidence or perfect security interests (or hypothecs, as applicable) in each relevant domestic jurisdiction with respect to all Property assets of the Loan Parties (except that with respect to the Real Property, such lien searches shall be limited to the Mortgaged Properties)Parties, and such search shall reveal no Liens liens on any of the Property assets of the Loan Parties, Parties except for Permitted Liens permitted by Section 7.3 or Liens to be discharged on or prior to or at the Closing DateDate pursuant to documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions within the United States in which Uniform Commercial Code and other lien searches in each relevant domestic jurisdiction with respect financing statements will be made to all Property of the Loan Parties (except that with respect evidence or perfect security interests required to the Real Property, such lien searches shall be limited to the Mortgaged Properties)evidenced or perfected, and such search shall reveal no Liens on any of the Property assets of the Loan Parties, Parties except for Permitted Liens permitted by Section 7.3 or Liens to be discharged on or prior to or at the Closing DateDate pursuant to documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of recent Uniform Commercial Code Code, Tax and other judgment lien searches in each relevant domestic jurisdiction reasonably requested by the Administrative Agent with respect to all Property each of the Loan Parties (except that with respect to the Real Property, such lien searches shall be limited to the Mortgaged Propertiesentities set forth on Schedule 4.1(e), ; and such search searches shall reveal no Liens on any of the Property of the Loan Parties, Collateral except for Permitted Liens permitted by Section 6.6 or Liens to be discharged on or prior to or at the Closing Date.

The Administrative Agent shall have received the results of recent a search of Uniform Commercial Code Code, tax and other lien searches in each relevant domestic jurisdiction judgment filings made with respect to all Property each of the Loan Parties (except that Company and its Subsidiaries in the jurisdictions set forth on Schedule 5.15(b), together with respect to the Real Property, copies of financing statements disclosed by such lien searches and such searches shall be limited to the Mortgaged Properties), and such search shall reveal disclose no Liens on any of the Property of the Loan Partiesassets encumbered by any Security Document, except for Permitted Liens or permitted hereunder or, if unpermitted Liens to be discharged prior to or at are disclosed, the Closing DateAdministrative Agent shall have received satisfactory evidence of the release of such Liens.

Lien Searches. The Administrative Agent shall have received the results of a recent search by a Person satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, judgment and other tax lien searches in each relevant domestic jurisdiction filings which may have been filed with respect to all Property personal property of the each Loan Parties (except that with respect to the Real Property, such lien searches shall be limited to the Mortgaged Properties)Party, and the results of such search shall reveal no Liens on any of the Property assets of the Loan Parties, Borrower or its Subsidiaries except for Permitted Liens or Liens to be discharged prior to or at permitted under the Closing DateLoan Documents.

The Administrative Agent shall have received the results of recent Uniform Commercial Code and other lien searches in each relevant domestic jurisdiction of the jurisdictions reasonably required by the Administrative Agent, together with respect to all Property such other searches as the Administrative Agent may reasonably require, and such searches shall reveal no liens on (A) any of the assets of the Loan Parties (except that with respect for Liens permitted by ​ ​ Section 7.3 or Liens discharged on or prior to the Real Property, such lien searches shall be limited to the Mortgaged Properties), and such search shall reveal no Liens on Closing Date or (B) any of the Property of collateral pledged by the Loan Parties, except for Permitted Liens or Liens to be discharged prior to or at the Closing DateLimited Recourse Pledgors.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions in which Uniform Commercial Code and financing statement or other lien searches filings or recordations should be made to evidence or perfect security interests in each relevant domestic jurisdiction with respect to all Property assets of the Loan Parties (except that with respect to the Real Property, such lien searches shall be limited to the Mortgaged Properties)Borrower and its Subsidiaries, and such search shall reveal no Liens liens on any of the Property assets of the Loan Partiessuch Person, except for Permitted Liens or permitted by Section 7.3 and Liens to be discharged on or prior to or at the Closing Date.

The Administrative Agent shall have received the results of recent Uniform Commercial Code and other such lien searches as it may request in each relevant domestic jurisdiction with respect to all Property of the Loan Parties Borrower and its Subsidiaries (except that with respect to the Real Property, such lien searches shall be limited to the Mortgaged Propertiesincluding Purchased Entities), and such search searches shall reveal no Liens liens on any of the Property assets of the Loan PartiesBorrower and its Subsidiaries or any other Collateral, except for Permitted Liens or Liens liens to be discharged on or prior to or at the Closing DateRestatement Effective Date pursuant to documentation reasonably satisfactory to the Administrative Agent.
