Leased Premises; Collateral Held by Warehouseman, Bailee, Etc. At the Administrative Agent’s request, such Grantor will use commercially reasonable efforts to obtain from each Person from whom such Grantor leases any premises, and from each other Person at whose premises any Collateral held by such Grantor is at any time present (including any bailee, warehouseman or similar Person), any such collateral access, subordination, landlord waiver, bailment, consent and estoppel agreements as the Administrative Agent may require, in form and substance satisfactory to the Administrative Agent.

Leased Premises; Collateral Held by Warehouseman, Bailee, Etc. At the Administrative Agent’s reasonable request and with the consent of the Grantor, such Grantor will use commercially reasonable efforts to obtain from each Person so reasonably requested by the Administrative Agent from whom such Grantor leases any premises having Collateral with an aggregate fair market value in excess of $5,000,000 or any substantial portion of a Grantor’s books and records or any of its material books and records, and from each other Person so reasonably requested by the Administrative Agent at whose premises any Collateral with an aggregate fair market value in excess of $5,000,000 or any substantial portion of a Grantor’s books and records or any of its material books and records is present (including any bailee, warehouseman or similar Person), any such collateral access, subordination, Landlord Consent, Bailee Letter, consent and estoppel agreements as the Administrative Agent may reasonably request, in form and substance reasonably satisfactory to the Administrative Agent; provided that such Landlord Consent shall be in substantially the form attached to the Credit Agreement and such Bailee Letter shall be in substantially the form of Exhibit F hereto. For the avoidance of doubt, the failure to obtain such collateral access, subordination, Landlord Consent, Bailee Letter or consent and estoppel agreements after the use of commercially reasonable efforts shall not be a Default or an Event of Default.
Leased Premises; Collateral Held by Warehouseman, Bailee, Etc. Such Grantor shall observe the covenant of the Borrower set forth at Section 6.12(d) of the Credit Agreement, which covenant by its terms the Borrower is required to cause each other Grantor to observe.
Leased Premises; Collateral Held by Warehouseman, Bailee, Etc. (A) The Company will use commercially reasonable efforts to obtain from each Person from whom the Company leases any premises, and from each other Person at whose premises any Collateral is at any time present (including any bailee, warehouseman or similar Person), within 45 days of (1) the Commencement Date or (2) if later, the date the Company enters into a lease of or a contract to hold Collateral at any premises, any such collateral access, subordination, landlord waiver, bailment, consent and estoppel agreements, as Xxxx may reasonably require, in form and substance satisfactory to Xxxx; provided that, with respect to any such Person that is an Affiliate of the Company, the Company will cause such Person to deliver to Xxxx a “bailee’s letter” in substantially the form attached as Exhibit B hereto no later than 45 days after the Commencement Date or, if later, the date such lease or contract is entered into. In the event that any such Person becomes an Affiliate of the Company after the Commencement Date, the Company will cause such Person to deliver such bailee’s letter no later than 45 days after the date such Person becomes an Affiliate of the Company.

Leased Premises; Collateral Held by Warehouseman, Bailee, Etc. At the Administrative Agent’s request, each Grantor will use commercially reasonable efforts to obtain any collateral access, subordination, landlord waiver, bailment, consent and estoppel agreements as the Administrative Agent may reasonably require (each, a “Third Party Consent”), in form and substance satisfactory to the Administrative Agent, from (x) each Person from whom such Grantor leases any premises and (y) from each other Person (including any bailee, warehouseman or similar Person) at whose premises any Collateral held by such Grantor is at any time present (except to the extent that the aggregate value of such Collateral, when taken together with any other Collateral that is not subject to Third Party Consent, does not exceed $1,000,000); provided that such landlord waiver shall be in substantially the form of Exhibit G hereto and such bailee letter shall be in substantially the form of Exhibit F hereto; provided, further, that the Administrative Agent shall not make a request of any of the Persons described in clause (x) hereof to the extent that the Collateral.
