Item Not Received claims. Your claim will not qualify for a refund under PayPal's Buyer Protection program for an Item Not Received claim if: • You collect the item in person, or arrange for it to be collected on your behalf, including if you use PayPal in a seller's store location, or • The seller has provided proof of shipment or proof of delivery. If the seller presents evidence that they delivered the goods to your address, PayPal may find in favor of the seller for an Item Not Received claim even if you claim you did not receive the goods. Significantly Not As Described claims An item may be considered Significantly Not as Described if: • The item is materially different from the seller's description of it. • You received a completely different item. • The condition of the item was misrepresented. For example, the item was described as "new" but the item was used. • The item was advertised as authentic but is not authentic (i.e. it is counterfeit). • The item is missing major parts or features and those facts were not disclosed in the description of the item when you bought it. • You purchased a certain number of items but didn't receive them all. • The item was materially damaged during shipment. • The item is unusable in its received state and was not disclosed as such. An item may not be considered Significantly Not as Described if: • The item is materially similar to the seller's description of it. • The defect in the item was correctly described by the seller in its description of the item. • The item was properly described but you didn't want it after you received it. • The item was properly described but did not meet your expectations. • The item has minor scratches and was described as "used."

You are required to produce all documentary proof to GrabPay on the agreed delivery timeline, and the relevant correspondence with the Merchant after you notify the Merchant regarding the non-delivery.   • Covered Claims Claim" means any claim, dispute or controversy between you and us that in any way arises from or relates to this Agreement, the Account, the issuance of any Card, any rewards program, any prior agreement or account.   • Unpaid Claims If a claim for indemnification (following the final disposition of such action, suit or proceeding) or advancement of expenses under this Section 10.02 is not paid in full within thirty (30) days after a written claim therefor by any person described in Section 10.02(a) has been received by the Partnership, such person may file proceedings to recover the unpaid amount of such claim and, if successful in whole or in part, shall be entitled to be paid the expense of prosecuting such claim. In any such action the Partnership shall have the burden of proving that such person is not entitled to the requested indemnification or advancement of expenses under applicable Law.

  • Paid Claims without Supporting Documentation Any Paid Claim for which Xxxxxxx cannot produce documentation shall be considered an error and the total reimbursement received by Xxxxxxx for such Paid Claim shall be deemed an Overpayment.   • Product Liability Claims Notwithstanding the provisions of Section 9.2, any Losses arising out of any Third Party claim, suit, action, proceeding, liability or obligation involving any actual or alleged death or bodily injury arising out of or resulting from the development, manufacture or Commercialization of any Fibrocell Products or Improved Products for use or sale in the Field, to the extent that such Losses exceed the amount (if any) covered by the applicable Party’s product liability insurance (“Excess Product Liability Costs”), shall be paid by [*****], except to the extent such Losses arise out of any Third-Party Claim based on the gross negligence or willful misconduct of a Party, its Affiliates, or its Affiliates’ sublicensees, or any of the respective officers, directors, employees and agents of each of the foregoing entities, in the performance of obligations or exercise of rights under this Agreement.

  • Allowance for Possible Loan Losses The allowance for possible loan or credit losses (the “Allowance”) shown on the consolidated balance sheets of each Subsidiary, as applicable, included in the most recent SEC Documents dated prior to the date of this Agreement was, as of the dates thereof, adequate (within the meaning of GAAP and applicable regulatory requirements or guidelines) to provide for all known, reasonably anticipated or probable losses relating to or inherent in the loan and lease portfolios (including accrued interest receivables) of such Subsidiary and other extensions of credit (including letters of credit and commitments to make loans or extend credit) by such Subsidiary as of the date thereof; provided, however, that there can be no assurance that future losses will not exceed the Allowance, or that additional provisions for loan losses will not be required in future periods, and provided, further, that it is understood that the Company’s determination of the Allowance is subject to review by the Company’s bank regulator, which can require the establishment of additional general or specific allowances.
