INTERIM DIRECTED CHANGES. 9.2.1 The Owner may issue a written Interim Directed Change directing a change in the Work prior to reaching agreement with the Construction Manager on the adjustment, if any, in the GMP or the date of Substantial Completion or date of Final Completion. 9.2.2 The Owner and the Construction Manager shall negotiate expeditiously and in good faith for appropriate adjustments, as applicable, to the GMP or the date of Substantial Completion or date of Final Completion arising out of an Interim Directed Change. As the changed Work is performed, the Construction Manager shall submit its costs for such Work with its application for payment beginning with the next application for payment within thirty (30) Days of the issuance of the Interim Directed Change. If there is a dispute as to the cost to the Owner, the Owner shall pay the Construction Manager amounts not in dispute. In such event, the Parties reserve their rights as to the disputed amount, subject to the requirements of Article 13. 9.2.3 When the Owner and the Construction Manager agree upon the adjustments in the GMP or the date of Substantial Completion or date of Final Completion, for a change in the Work directed by an Interim Directed Change, such agreement shall be the subject of an appropriate Change Order. The Change Order shall include all outstanding Interim Directed Changes on which the Owner and Construction Manager have reached agreement on GMP or the date of Substantial Completion or date of Final Completion issued since the last Change Order.
INTERIM DIRECTED CHANGES. 15.5.1 Owner may issue a written Interim Directed Change directing a change in the Work or Services prior to reaching agreement on a Change Order. 15.5.2 The Parties shall negotiate expeditiously and in good faith for appropriate adjustments, if any, to the Expected Cost, Target Cost, EMP, Profit of Risk Pool Members, or Contract Time arising out of Interim Directed Changes, and such agreement shall be documented in a Change Order. 15.5.3 If the Parties do not agree on the increase or decrease pursuant to subsection 15.5.2 and Owner issues an Interim Directed Change, the cost of the change in the Work or Services shall be determined by the reasonable actual Payable Costs incurred and savings realized in the performance of the Work or Services resulting from the change. If there is a net increase in the Payable Costs, the Profit of Risk Pool Members, as applicable, shall be adjusted in accordance with the Contract Documents. In case of a net decrease in the Payable Costs, the applicable Profit amount shall not be adjusted unless ten percent (10%) or more of the Project (by value) is deleted.
INTERIM DIRECTED CHANGES. 20.3.1 The Owner may issue a written Interim Directed Change directing a change in the Work prior to reaching agreement with the Constructor on the adjustment, if any, in the PTCE or the Date of Substantial Completion or Date of Final Completion. 20.3.2 The Owner and the Constructor shall negotiate expeditiously and in good faith for appropriate adjustments, as applicable, to the PTCE or the Date of Substantial Completion or Date of Final Completion arising out of Interim Directed Changes. As the changed Work is performed, the Constructor shall submit its costs for such Work with its application for payment beginning with the next application for payment within thirty (30) Days of the issuance of the Interim Directed Change. If there is a dispute as to the cost to the Owner, the Owner shall pay the Constructor fifty percent (50%) of Constructor's estimated cost to perform the work. In such event, the Parties reserve their rights as to the disputed amount, subject to the requirements of Article 23. 20.3.3 When the Owner and the Constructor agree upon the adjustments in the PTCE or the Date of Substantial Completion or Date of Final Completion, for a change in the Work directed by an Interim Directed Change, such agreement shall be the subject of an appropriate Change Order. The Change Order shall include all outstanding Interim Directed Changes issued since the last Change Order.

  • Interim Changes Since the date of its balance sheets, except as set forth in Exhibit C, there have been no (1) changes in financial condition, assets, liabilities or business of Amalgamated which, in the aggregate, have been materially adverse; (2) damages, destruction or losses of or to property of Amalgamated, payments of any dividend or other distribution in respect of any class of stock of Amalgamated, or any direct or indirect redemption, purchase or other acquisition of any class of any such stock; or (3) increases paid or agreed to in the compensation, retirement benefits or other commitments to its employees.

  • Program Changes Contractor agrees to inform the County of any alteration in program or service delivery at least thirty (30) days prior to the implementation of the change, or as soon as reasonably feasible.

  • Project Changes Project changes prior to bid opening shall be made by addendum to plans and specifications. Changes after bid opening shall be made by change order. The Local Government shall submit all addenda and all change orders to the Department for an eligibility determination. After execution of all construction, equipment and materials contracts, the Project contingency may be reduced.
