INTEREST AND. Principal shall be payable on any Interest Payment Date or Maturity Date only to those Holders whose names and addresses are listed on the Notes Register at the close of business on the applicable Record Date. The Promissory Notes shall bear interest first, at the Initial Interest Rate during the Initial Rate Period, payable on ________________________, 1998. Thereafter, the Promissory Notes shall bear interest for each subsequent Interest Rate Period, at the Applicable Variable Rate, which shall be a rate per annum equal to 120% of the Applicable Federal Rate for debt instruments with a term of not over three years, and which interest rate shall be determined by the Trustee each Interest Determination Date. The interest rate applicable to any Interest Rate Period, determined on the immediately preceding Interest Determination Date, shall become effective on the Interest Payment Date that is the first day of such Interest Rate Period. Interest on the Promissory Notes shall be borne from and including the date of first delivery thereof until payment of the principal or redemption price thereof shall have been made or provided for in accordance with the provisions hereof, whether at maturity, upon redemption prior to maturity or otherwise. Interest on the Promissory Notes shall be computed on the basis of a year of 360 days, for the actual number of days elapsed.
