Initial Contribution of Assets. On the terms and subject to the conditions set forth in this Agreement, BioXcel hereby agrees to sell, contribute, assign, transfer, convey and deliver to BTI, and BTI agrees to acquire from BioXcel, all of BioXcel’s right, title and interest in and to BXCL701, BXCL702, BXCL501, and BXCL502 (collectively, the “Candidates”), and all of the assets associated with the Candidates, other than those specified to be Retained Assets (as defined below), (collectively, the “Assets”), free and clear of any security interest, lien, charge, option, claim or other encumbrance (each, a “Lien”), other than those Liens listed on Schedule 1 (collectively, the “Permitted Liens”). Initial Contribution of Assets. (a) Within 60 days following the Closing Date, SB shall cause to be contributed to IX Company the assets described in Annex A, subject to the liabilities described in Annex A.
Initial Contribution of Assets. On the terms and subject to the conditions set forth in this Agreement, InveniAI hereby agrees to sell, contribute, assign, transfer, convey and deliver to Invea, and Invea agrees to acquire from InveniAI, all of InveniAI’s right, title and interest in and to drug candidates known as INVA8001, INVA8002 and INVA8003, together with any and all forms of such compounds and any salt, ester, hydrate, solvate, free acid form, free base form, crystalline form, co-crystalline form, amorphous form, polymorph, chelate, isomer, enantiomer, racemate, stereoisomer, tautomer or optically active form of any of the foregoing (collectively, the “Candidates”), and all of the assets associated with the Candidates (collectively, the “Assets”), free and clear of any security interest, lien, charge, option, claim or other encumbrance (each, a “Lien”), other than those Liens listed on Schedule 1 (collectively, the “Permitted Liens”). The Assets include the following to the extent used or held for use in connection with the Candidates as of the Effective Date:
Initial Contribution of Assets. Upon the terms and subject to the conditions of this Agreement, Participant shall contribute to JV Company, at Participant’s sole discretion, either (a) $4,100,000 (the “Initial Cash Contribution”) in cash at Closing, or (b) 750,000 shares of Participant Common Stock, 250,000 shares of which to be transferred to JV Company from Poseidon within five business days of Closing (the “Closing Shares”), and the remaining 500,000 shares to be issued to JV Company by Participant on November 30, 2023 (collectively, the “Initial Share Contribution”), with such contribution being the “Initial Contributed Assets”. All proceeds derived from the Initial Contribution Assets shall be used to further JV Company’s operations and development.

  • Contribution of Assets Subject to and upon the terms and conditions contained herein, on the Closing Date, Dentist shall convey, transfer, deliver and assign to Pentegra or any affiliate of Pentegra designated by Pentegra all of Dentist's right, title and interest in and to those certain assets described on EXHIBIT 1.1 attached hereto (individually, "Asset", and collectively "Assets"), free and clear of all obligations, security interests, claims, liens and encumbrances, except as specifically assumed, or taken subject to, by Pentegra pursuant to SECTION 1.3(b) hereof.

The legal form of the holding entity, the identity of the trustee or other fiduciary and the terms of its governing instrument shall be determined by the Managers.
