Common use of Incoming Specifications Clause in Contracts

Incoming Specifications. The parties will in good faith cooperate with one another to develop the Specifications, which shall be acceptable to both parties. The Specifications shall be agreed upon in writing and shall be incorporated into this Agreement as Exhibit C, as amended from time to time by the mutual agreement of the parties. The parties may from time to time amend the Specifications by mutual written agreement without the necessity of amending this Agreement. Such amended Specifications shall then be deemed the Specifications as defined in Section 1.16. The Specifications shall be considered Confidential Information for the purposes of Article 8.

The Specifications shall be considered Confidential Information confidential information pursuant to Section 13 of the Collaboration Agreement and for the purposes of Article 8Section 10 hereof.
