GOVERNMENT PRIME CONTRACT. This Agreement is entered into by Buyer and Seller in support of a U.S. Government Contract. The Federal Acquisition Regulation (FAR) and Defense Federal Acquisition Regulation Supplement (DFARS) clauses referenced below are incorporated herein by reference, with the same force and effect as if they were given in full text, and are applicable, including any notes following the clause citation, during the performance of this Agreement unless made inapplicable by their respective notes, if any. The effective version of each provision shall be the same version in effect at the time the Order is placed of the previous version of the clause incorporated into the Buyer’s Prime Contract, if different.

GOVERNMENT PRIME CONTRACT. If an Order(s) contains a U.S. Government Prime Contract Number then following FAR and DFARS Clauses are applicable
GOVERNMENT PRIME CONTRACT. (a) Seller shall comply with FAR 52.222-50 even if Seller provides services, commercial items, or Commercial Off-The-Shelf (COTS) items. Seller shall flow-down FAR 52.222-50 to its subcontractors or suppliers at any tier or level. However, FAR 52.222-50 paragraph (h) and paragraph (i) shall only apply when aggregate value of the Purchase Orders issued to Seller under the Contract are estimated to exceed $500,000 and Seller is providing supplies other than commercially available COTS items acquired outside of the U.S. or services are to be performed outside of the U.S. When FAR 52.222-50 paragraph (h) and paragraph (i) apply, Seller shall provide Buyer with: (i) Seller’s compliance plan and signed certification as provided in FAR 52.222-50 paragraph (h)(5) before Buyer is able to issue any Purchase Order to Seller under the U.S. Government prime contract; and (ii) Seller’s annually updated compliance plan and certification thereafter. Seller must also implement Seller’s compliance plan to prevent trafficking in persons.

  • Government Programs The Property is subject to the government programs listed below or on the attached exhibit: . Seller shall provide Buyer with copies of all governmental program agreements. Any allocation or proration of payment under governmental programs is made by separate agreement between the parties which will survive closing.

  • Government Procurement ARTICLE 6.1

  • Government Use If the Software, Documentation, Materials and any other Licensor services are being or have been acquired with U.S. Federal Government funds, or Customer is an agency, department, or other entity of the United States Government ("Government"), the use, duplication, reproduction, release, modification, disclosure, or transfer of the Software or any related documentation of any kind, including technical data, manuals or Materials, is restricted in accordance with Federal Acquisition Regulation 12.212 for civilian agencies and Defense Federal Acquisition Regulation Supplement 227.7202 for military agencies. The Software, Materials, and any Licensor services are COMMERCIAL ITEMS AS DEFINED BY THE FEDERAL ACQUISITION REGULATION. Use of the Software and Materials by the Government is further restricted according to the Agreement and any amendment hereto.

  • GOVERNMENT PROPERTY (a) Company may furnish to Seller property as may be required for performance of work under this Agreement, or have Seller acquire such property as mutually agreed. Title to property furnished or acquired shall vest in the Government, and hereafter be referred to as "Government property." If Seller purchases property for which it is entitled to be reimbursed as a direct item of cost, title shall pass to the Government upon delivery of the property to Seller. Title to all other property, the cost of which is reimbursable to Seller, shall pass to the Government upon the earliest of (1) issuance of property for use in performance, (2) processing property for use in performance, or (3) reimbursement of cost of property. Title shall not be affected by the incorporation or attachment to any property not owned by the Government, nor shall any Government property become a fixture or lose its identity because it is affixed to any realty.

  • Government Users If Customer is a U.S. government entity or if this Agreement otherwise becomes subject to the Federal Acquisition Regulations (FAR), Customer acknowledges that elements of the Service constitute software and documentation and are provided as “Commercial Items” as defined at 48 C.F.R. 2.101, and are being licensed to U.S. government User as commercial computer software subject to the restricted rights described in 48 C.F.R. 2.101 and 12.212.

  • GOVERNMENT SERVICE 1. a) Salaries, wages and other similar remuneration, other than a pension, paid by a Contracting State or a political subdivision or a local authority thereof to an individual in respect of services rendered to that State or subdivision or authority shall be taxable only in that State.

  • Government End Users The Apple Software and related documentation are “Commercial Items”, as that term is defined at 48 C.F.R. §2.101, consisting of “Commercial Computer Software” and “Commercial Computer Software Documentation”, as such terms are used in 48 C.F.R. §12.212 or 48 C.F.R. §227.7202, as applicable. Consistent with 48 C.F.R. §12.212 or 48 C.F.R. §227.7202-1 through 227.7202-4, as applicable, the Commercial Computer Software and Commercial Computer Software Documentation are being licensed to U.S. Government end users (a) only as Commercial Items and (b) with only those rights as are granted to all other end users pursuant to the terms and conditions herein.   • Controlled Government Data The Disclosing Party's Controlled Government Data, if any, will be identified in a separate technical document.

  • Government Data Practices Vendor and Sourcewell must comply with the Minnesota Government Data Practices Act, Minnesota Statutes Chapter 13, as it applies to all data provided by or provided to Sourcewell under this Contract and as it applies to all data created, collected, received, stored, used, maintained, or disseminated by the Vendor under this Contract. If the Vendor receives a request to release the data referred to in this article, the Vendor must immediately notify Sourcewell and Sourcewell will assist with how the Vendor should respond to the request.

  • Government Rights This Agreement is subject to Title 35 Sections 200-204 of the United States Code. Among other things, these provisions provide the United States Government with nonexclusive rights in the Licensed Patent. They also impose the obligation that Licensed Product sold or produced in the United States be “manufactured substantially in the United States.” ***** will ensure all obligations of these provisions are met.
