Common use of Freedom of Action Clause in Contracts

Freedom of Action. Nothing in this Agreement shall be construed to prohibit or restrict either party from independently developing or acquiring and marketing materials and/or programs that are competitive with the Product.

Freedom of Action. Nothing in this Agreement shall be construed to prohibit as prohibiting or restrict restricting either party from independently developing or acquiring developing, acquiring, and marketing products, services, and other materials and/or programs that which are competitive in any form with the ProductProduct(s) or products created or marketed by each other.

Nothing in this Agreement shall be construed to prohibit as: (1) prohibiting or restrict restricting either party or their subsidiaries from independently developing acquiring, licensing, distributing or acquiring marketing products, services and marketing other materials and/or programs that which are competitive in any form with the Product, (2) guaranteeing that either party or their subsidiaries will announce, or otherwise offer, any product or service, including but not limited to the Product; or (3) affecting either party’s pricing of products or services, including but not limited to the Product. Each party is free to enter into similar agreements with other parties.
