Exceptions to the Undertakings. The above restrictions set out in Articles 6.1(a) to 6.1(d) shall not apply to (A) the sale of any Consideration Shares by way of an acceptance of a general offer made in accordance with the Hong Kong Code on Takeovers and Mergers (the “Takeovers Code”), and (B) any pledge or charge of any Consideration Shares as security for a bona fide commercial loan. For the avoidance of doubt, the above restrictions set out in Articles 6.1(a) to 6.1(d) do not apply to any Shares that may be acquired by Investor Shareholder other than pursuant to this Agreement.
