Evidence of Borrower s title Evidence that on the Drawdown Date (i) the Vessel will be at least provisionally registered under the flag stated in Recital (A) in the ownership of the Borrower and (ii) the Mortgage will be capable of being registered against the Vessel with first priority.
Evidence of Borrower s title Evidence that on the date of the Drawing (i) the Vessels are registered under the flag stated in Schedule 2 in the ownership of the Borrower and (ii) the relevant Mortgages will be capable of being immediately registered against the Vessels with first priority.
Evidence of Borrower s title Certificates of ownership and encumbrance (or equivalent) issued by the Registrar of Ships (or equivalent official) of the relevant Vessel’s flag state confirming that (a) the Vessels are permanently registered under that flag in the ownership of the Borrower (b) the Mortgages have been registered with first priority against the Vessels and (c) there are no further Encumbrances registered against the Vessels.
Evidence of Borrower s title Evidence that any prior registration of the Vessel in the ownership of the Builder and any Encumbrance registered against that ownership have been cancelled (or confirmation from the Builder that there was no such prior registration) and evidence that on the Drawdown Date (i) the Vessel will be at least provisionally registered under an Approved Flag in the ownership of the Borrower and (ii) the Mortgage will be capable of being registered against the Vessel with first priority.
Evidence of Borrower s title Evidence that on the Drawdown Date (i) the Borrower’s Vessel will be registered under the flag of Hong Kong in the ownership of the Borrower and (ii) the Mortgage will be capable of being registered against the Borrower’s Vessel with first priority.
Evidence of Borrower s policies of insurance, with respect to Hidden Lakes, as required by the terms of Section 5.1.21 of the 1994 Loan Agreement;
Evidence of Borrower s title Evidence that on the Delivery Date (i) the relevant Newbuilding will be at least provisionally registered under the flag stated in Schedule 2 Part II, or an alternative flag acceptable to the Agent in its absolute discretion, in the ownership of the Borrower and (ii) the Mortgage will be capable of being registered against the relevant Newbuilding with first priority.
Evidence of Borrower s title In relation to the Vessel, a certificate of ownership of encumbrance (or equivalent) issued by the Registrar of an Approved Flag confirming that (i) the Vessel is owned by the relevant Borrower under the laws and flag of an Approved Flag and free of registered Encumbrances and (ii) the Mortgage will be capable of being registered against the Vessel with first priority.
Evidence of Borrower s policies of insurance, with respect to each Mortgaged Property, as required by the terms of Section 5.1.21 hereof;
Evidence of Borrower s compliance with or exemption from the requirements of the Interstate Land Sales Full Disclosure Act (the "LAND SALES ACT"), 15 U.S.C. Sec.1701, ET SEQ. and the Florida Land Sales Practices Act. Lender may refuse to grant a partial release with respect to any portion of the Property until Borrower presents evidence reasonably satisfactory to Lender that such portion will not be sold or leased by Borrower in violation of the Land Sales Act and the Florida Land Sales Practices Act;
