The Loan Documents shall create in favor of the Administrative Agent, for the benefit of the Secured Parties, a legal, valid and enforceable First Priority security interest in the Collateral secured thereby (subject only to Permitted Liens and Section 5.15) located in the United States, to the extent permitted by law and subject to the perfection requirements set forth in the Pledge and Security Agreement.
