Estimated Parent Net Debt Sample Clauses

Estimated Parent Net Debt. Parent will prepare or cause to be prepared in good faith and delivered to the Company, not later than three Business Days prior to the Closing Date, an estimated calculation of Parent Net Debt as of the Closing Date and prepared in accordance with GAAP (the “Estimated Parent Net Debt”). The Company will have reasonable access to the work papers and other materials used in the preparation of the Estimated Parent Net Debt.
