Common use of Engagement of Services Clause in Contracts

Engagement of Services. Company may issue Project Assignments to Consultant in the form attached to this Agreement as Exhibit A (Project Assignment). A Project Assignment will become binding when both parties have signed it and once signed, Consultant will be obligated to provide the services and to deliver the materials and deliverables as specified in each Project Assignment. The terms of this Agreement will govern all Project Assignments and services undertaken by Consultant for Company. Consultant represents, warrants and covenants that Consultant will perform the services under this Agreement in a timely, professional and workmanlike manner and that all materials and deliverables provided to Company will comply with (i) the requirements set forth in the Project Assignment, (ii) the documentation and specifications for those materials and deliverables, (iii) any samples or documents provided by Consultant to Company.

In accordance with Company’s objectives, Consultant will determine the method, details and means of performing the services required by this Agreement. Company shall have no right to, and shall not, control the manner or determine the method of performing Consultant’s services.

Engagement of Services. Company may issue Project Assignments hereby engages Consultant to Consultant provide the Services described in the form Assignment, which is attached to this Agreement as “Exhibit A A” and incorporated herein (Project “Assignment”). A Project In the event of a conflict between the terms of this Agreement and the Assignment, the terms of the Assignment will become binding when both parties have signed it and once signed, control. Consultant will be obligated to provide the services Services and to deliver the materials and deliverables as specified in each Project the Assignment. The terms of this Agreement will govern all Project Assignments and services undertaken by Consultant for Company. Consultant represents, warrants and covenants that Consultant will perform the services Services under this Agreement in a timely, professional and workmanlike manner and that all materials materials, information and deliverables provided to Company will comply with (i) the requirements set forth in the Project Assignment, (ii) the documentation Company’s policies and specifications for those materials and deliverables, procedures; (iii) Consultant’s obligations to the Company as a shareholder; and (iv) any samples agreements into which the Parties have entered, including any severance, confidentiality or documents provided by Consultant to Companyproprietary agreements.

Engagement of Services. The Company may issue Project Assignments Contracting Engagements to Consultant Contractors in the form attached to this Agreement as Exhibit A (Project AssignmentContracting Engagement). A Project Assignment Contracting Engagement will become binding when both parties have signed it and once it. Once signed, Consultant Contractors will be obligated to provide the services and to deliver the materials and deliverables as specified in each Project AssignmentContracting Engagement. The terms of this Agreement will govern all Project Assignments Contracting Engagements and services undertaken by Consultant Contractor for Company. Consultant Contractor represents, warrants warrants, and covenants that Consultant Contractors will perform the services under this Agreement in a timely, professional and workmanlike manner and that all materials and deliverables provided to Company will comply with (i) the requirements set forth in the Project AssignmentContracting Engagement, (ii) the documentation and specifications for those materials and deliverables, (iii) any samples or documents provided by Consultant Contractors to Company.
