Efforts to Obtain Satisfaction of Conditions. The Seller and the Buyer covenant and agree to use their reasonable best efforts and the Seller covenants to cause BSA to use its reasonable best efforts to obtain the satisfaction of the conditions to closing specified in this Agreement. In particular, the Seller shall, and shall cause BSA to, seek and use reasonable best efforts to obtain all consents and approvals set forth on Schedules 2.3 and 2.24. A-22 29 As promptly as practicable after the execution and delivery of this Agreement, Seller shall prepare and file with the SEC the information statement relating to the written consent of the stockholders approving this Agreement and the transactions contemplated hereby (the "Information Statement").
