Dominion of Cash. On and anytime after Borrower requests any ---------------- Revolving Credit Loan, Letter of Credit (other than with respect to the VA Letter of Credit) or LC Guaranty Borrower shall at all times thereafter maintain the written arrangement with respect to the Dominion Account entered into on or about the Closing Date, and any changes with respect thereto shall be made with the consent of Borrower, Lender and the Bank. Borrower shall issue, pursuant to such agreement, to the Bank an irrevocable letter of instruction directing it to deposit all payments or other remittances received to the Dominion Account for application on account of the Obligations. All funds deposited in the Dominion Account shall immediately become the property of Lender and Borrower shall obtain the agreement by Bank in favor of Lender to waive any offset rights against the funds so deposited. All funds in the Dominion Account shall be transferred to the Loan Account.

Dominion of Cash. Prior to the occurrence of an Event of Default, each Borrower shall maintain dominion over its cash receipts. At any time after the occurrence and during the continuance of an Event of Default, Agent may request, and each Borrower shall at all times thereafter maintain a Dominion Account pursuant to a lockbox arrangement acceptable to Agent with such banks as may be selected by such Borrower and be acceptable to Agent. Each Borrower shall issue to any such banks an irrevocable letter of instruction directing such banks to deposit all payments or other remittances received in such Borrower's lockbox to the Dominion Account for application on account of the Obligations. All funds deposited in the Dominion Account shall immediately become the property of Agent and each Borrower shall obtain the agreement by such banks in favor of Agent to waive any offset rights against the funds so deposited. Agent assumes no responsibility for such lockbox arrangement, including, without limitation, any claim of accord and satisfaction or release with respect to deposits accepted by any bank thereunder.

  • Investment of Cash Collateral Pursuant to the SLA, the Client shall have the right to invest Cash Collateral received in respect of any loan, subject to an obligation, upon the termination of the loan, to return to the Approved Borrower the amount of cash initially pledged (as adjusted for any interim marks-to-market).

  • Trust Account Proceeds Prior to the liquidation of the Trust Account in the event the Company has not completed a Business Combination as required by its Charter Documents (the “Termination Date”), interest income on the funds held in the Trust Account may be released to the Company from the Trust Account in accordance with the terms of the Trust Agreement to pay any taxes incurred by the Company, all as more fully described in the Prospectus.

  • Disbursements from Replacement Reserve Account (a) Lender shall make disbursements from the Replacement Reserve Account to pay Borrower only for the costs of the Replacements. Lender shall not be obligated to make disbursements from the Replacement Reserve Account to reimburse Borrower for the costs of routine maintenance to the Property or for costs which are to be reimbursed from the Required Repair Fund (if any).

  • Disposition of Collateral Such Grantor will not sell, lease or otherwise dispose of the Collateral owned by it except for dispositions specifically permitted pursuant to Section 6.05 of the Credit Agreement.

  • Permitted Withdrawals from the Custodial Account (a) The Master Servicer may, from time to time as provided herein, make withdrawals from the Custodial Account of amounts on deposit therein pursuant to Section 3.07 that are attributable to the Mortgage Loans for the following purposes:
