Borrower Requests. Borrower may request subsequent Revolving Loan Advances at any time, but not more often than once each Business Day, by submitting a request therefor to Administrative Agent as provided in Section 7.10. Administrative Agent may treat every request for a Revolving Loan Advance that is a Base Rate Advance as a request for a Swingline Advance to the extent the requested amount does not exceed the Maximum Swingline Amount and as a request for a Revolving Loan Advance in the amount of the excess. Administrative Agent may treat every request for an Advance as a request for a Base Rate Advance if Borrower does not specify that such Advance is to be a Eurodollar Advance in Borrower's request for an Advance. Every request for a Revolving Loan Advance shall be irrevocable. A request for a Revolving Loan Advance received by Administrative Agent on a day that is not a Business Day or that is received by Administrative Agent after 12:00 noon (Local Time) (or 2:00 p.m. (Local Time) in the case of a request for a Revolving Loan Advance which will, subject to the terms of this Agreement, be treated by Administrative Agent as a request for a Swingline Advance) on a Business Day shall be treated as having been received by Administrative Agent prior to 12:00 noon (Local Time) (or 2:00 p.m. (Local Time) in the case of a request for a Revolving Loan Advance which will, subject to the terms of this Agreement, be treated by Administrative Agent as a request for a Swingline Advance) on the next Business Day.
Borrower Requests. Seller shall promptly (and in any event not later than two (2) Business Days after knowledge thereof) notify Purchaser of any request by a Borrower for a modification, waiver or consent. Seller and Servicer shall further agree that Seller shall not take any action or effect or direct Servicer to take any action or effect any material modification or amendment of or material waiver under any Purchased Asset without receiving the prior written consent of Purchaser.

Borrower Requests. The Parent Borrower, by written notice to the Agent, may, (A) not more than two times after the First Amendment Effective Date and (B) not less than twelve months after the prior Extension Date, if any, request an extension of the Termination Date in effect at such time by one year from its then scheduled expiration (the date of any such request, the “Extension Request Date”); provided that such request is made at least 30 days prior to the applicable Termination Date.
Borrower Requests. Section 7.2.1 of the Amended and Restated Loan Agreement shall be revised and amended so that the date "September 30, 2004" is replaced with the date "December 31, 2004."
Borrower Requests. Borrower has requested Lender to provide ----------------- Advances up to an amount not to exceed $20,000,000.00 for the purpose of maintaining certain financial covenants as set forth in its Loan Agreement with Bank One, Texas, N.A.
Borrower Requests. In the instance a Borrower intends to effectuate a transaction that is not permitted under the Loan documents, Borrower shall be required to pay a maximum fee of $10,000 plus any reasonable out-of-pocket expenses to Lender or any loan servicer in connection with obtaining the consent of Lender or such servicer. [LOGO] REPLACEMENT RESERVE: An initial amount will be deposited into a reserve account equal to 125% of any deferred maintenance or environmental remediation costs as determined by new third party studies, provided that all amounts so deposited will be returned to Borrower upon completion of the required deferred maintenance work and/or environmental remediation. A replacement reserve equal to the greater of 4% of gross revenues per annum and the amount required to be reserved under the applicable management agreements (the "REPLACEMENT RESERVE ACCOUNT") will be established and funded monthly from excess cash flow. The Replacement Reserve will be available to Borrower for reimbursement of FF&E and capital expenditures incurred. In addition to the Replacement Reserve, Ashford Hospitality Limited Partnership shall provide a payment and completion guaranty, in form and substance acceptable to Lender, in the amount of $26,000,000, for items identified in certain property improvement plans and additional upfront capital expenditures to be mutually agreed upon by Borrower and Lender.

Domestic Borrower may request Revolving Loan Advances in any Applicable Currency, UK Borrower may request Revolving Loan Advances only in Pounds Sterling, and German Borrower may request Revolving Loan Advances only in Deutsche Marks. A request for a Eurodollar Advance must be given prior to 11:00 a.m., Central Time, at least three Business Days prior to the Advance Date for such Eurodollar Advance. (Administrative Agent in any instance may accept a request for a Swingline Advance that is to be a Eurodollar Advance two Business Days prior to the Advance Date, but the acceptance of such a request in any instance shall not constitute a waiver of the requirement for three Business Days notice in any other instance). A request for a Base Rate Advance must be given prior to 11:00 a.m., Central Time, on the Advance Date for such Base Rate Advance. A request for an Advance, including a Swingline Advance, must meet the requirements of Section 7.10 or such Advance will not be made. No Advance Date for any requested Advance may be other than a Business Day. Every request for an Revolving Loan Advance shall be irrevocable. A request for a Revolving Loan Advance received by Administrative Agent on a day that is not a Business Day or that is received by Administrative Agent after 11:00 a.m. (Central Time) on a Business Day shall be treated as having been received by Administra- tive Agent at 10:59 a.m. (Central Time) on the next Business Day.
Borrower Requests. Borrower may request a subsequent Revolving Loan Advance at any time, but not more often than once each Business Day, by submitting a request therefor to Lender as provided in Section 6.7. Every request for a Revolving Loan Advance shall be irrevocable. A request for an Advance received by Lender on a day that is not a Business Day or that is received by Lender after 12:00 p.m. (St. Louis time) on a Business Day shall be treated as having been received by Lender at 12:00 p.m. (St. Louis time) on the next Business Day. All Advances shall be funded to Borrower's account at Lender.
Borrower Requests. Borrower may request a subsequent Revolving Loan Advance at any time, and a subsequent Term Loan Advance at any time within 90 days after the Effective Date, but in either case not more often than once each Business Day, by submitting a request therefor to Administrative Agent as provided in Section 8.10. Every request for an Advance shall be irrevocable, unless Administrative Agent or Required Lenders make a determination as described in Section 20.2, in which case Borrower shall be permitted to revoke such request. A request for an Advance received by Administrative Agent on a day that is not a Business Day or that is received by Administrative Agent after 11:00 a.m. (Central Time) on a Business Day shall be treated as having been received by Administrative Agent at 11:00 a.m. (Central Time) on the next Business Day. The date when an Advance is requested to be made may only be a Business Day. A request for a Eurodollar Advance must be given prior to 11:00 a.m.(Central Time) at least two Business Days prior to the date when the Eurodollar Advance is requested to be made. A request for an Alternate Base Rate Advance, must be given prior to 11:00 a.m.(Central Time) on the date when the Alternate Base Rate Advance is requested to be made.
