Dissolution of Member. The dissolution of a Member shall not cause a dissolution of the Company, but the rights of such Member to share in the profits and losses of the Company and to receive distributions of Company funds shall, on the happening of such an event, devolve upon its trustee or successor, subject to the terms and conditions of this Agreement, and the Company shall continue as a limited liability company. The successor of such Member shall be liable for all of the obligations of such Member under this Agreement. However, in no event shall such trustee or successor become a substitute Member, except with the prior written consent of the other Members.
Dissolution of Member. If a Member is dissolved or otherwise ceases to exist then either (a) the plan for dissolution shall contain adequate provisions acceptable to the Authority for the performance of all such Member’s obligations to the Authority, or (b) all such obligations shall be fully paid and performed prior to the effective date of dissolution.
