Development Service. 3.1 The Supplier shall develop the New Software in accordance with the Implementation Plan so that it meets the Authority‟s Requirements. The Development Services are set out in Schedule 2 (Development Services). 3.2 So that the Authority may monitor progress, the Supplier shall provide progress reports in the form as set out in Schedule 4 (Progress reports). The Supplier will provide the progress reports fortnightly or more frequently (but no more frequently than weekly) on request by the Authority. 3.3 The Supplier will ensure that: 3.3.1 the New Software will, at the date of delivery of the New Software to the Authority and throughout the Warranty Period, comply in all material respects with the Authority‟s Requirements; 3.3.2 the Development Services and the New Software will be delivered in accordance with schedule 3 (Implementation Plan) and the Supplier will notify the Authority promptly if it is, for any reason, unable to meet any of the dates referred to in Schedule 3 (Implementation Plan); 3.3.3 it will perform its obligations under the agreement with all due skill and care in accordance with Good Industry Practice; 3.3.4 when complying with its obligations under this agreement, it uses all reasonable endeavour not to interfere with the activities of the Authority, its employees or agents; 3.3.5 it does not do anything harmful to the reputation of the Authority (other than where the harm is caused unintentionally by the Supplier as a result of following the Authority‟s instructions or as a result of complying with its obligations under the agreement); or 3.3.6 it does not do or omits to do anything which may damage or impair the operation of the Authority or prejudice the security of its premises, computer or software. 3.4 The Authority will, in accordance with the timetable in the Implementation Plan, prepare: 3.4.1 acceptance criteria and acceptance tests which demonstrate that the New Software complies with the Authority‟s Requirements; and 3.4.2 procedures for carrying out the Acceptance Tests; 3.5 Both parties will use reasonable endeavours to agree the Acceptance Tests and procedures in accordance with the timetable in the Implementation Plan; 3.6 The Supplier will carry out internal unit and system testing for each release of the Software in accordance with Schedule 2 (Development Services). 3.7 The Acceptance Tests shall be carried out by the Authority in accordance with the timetable in the Implementation Plan. Development Service. The AUTHORITY may request and the CONTRACTOR shall not unreasonably decline to provide additional Contractor effort to undertake additional work to contribute to the further development of the Service (‘Additional Services’). The AUTHORITY and the CONTRACTOR shall document Additional Services using a Task Authorisation Form (‘TAF’) an example of which appears in Schedule 10 Clause 2.2. A TAF may be initiated by either Party, but shall not be deemed to have been approved until signed by both parties.

Related to Development Service

  • Development Services During the term of this Agreement, the Provider agrees to provide to or on behalf of the Port the professional services and related items described in Exhibit A (collectively, the “Development Services”) in accordance with the terms and conditions of this Agreement. The Provider specifically agrees to include at least one Port representative in any economic development negotiations or discussions in which the Provider is involved concerning (i) a port-related business prospect or (ii) a business transaction which will ultimately require Port involvement, financial or otherwise.

High school students in dual credit courses will be given access to the College library, accorded appropriate privileges, and have adequate library resources convenient for use at the site where the course is offered. b. Prior to the start of each academic year, the High School and College shall collaborate on the development and communication of procedures for the provision of accommodations for students with disabilities enrolled in Dual Credit courses (“Established Procedures”). High School and College shall provide disability services in accordance with Established Procedures and applicable law. d. If a student is enrolled simultaneously in College and in high school in a dual credit program, the two schools may share information regarding the student, in accordance with FERPA. e. All other services provided to regular Dallas College students will also be provided to high school students enrolled in dual credit courses in accordance with applicable law and Dallas College policies.
