As used in this Agreement, the following terms shall have the meanings set forth below: “2003 Credit Agreement” that certain Amended and Restated Credit Agreement dated as of July 17, 2003 by and among the Borrowers, the lenders referenced therein, Bank of America, N.A., as administrative agent and the other parties thereto, as amended by that certain First Amendment to Credit Agreement dated as of March 29, 2004, as amended by that certain Second Amendment to Credit Agreement dated as of June 10, 2004, as amended by that certain Third Amendment to Credit Agreement dated as of June 30, 2004, as the same may have been further amended, restated, supplemented or otherwise modified from time to time prior to the date hereof and as in effect immediately prior to the effectiveness hereof.
