Date and Xxxxxx of Closing. Escrow Agent shall close the Escrow (the “Closing”) on or before August 31, 2006 (the “Scheduled Closing Date”), provided that all of the conditions to Buyer’s obligation to purchase have been either satisfied or waived. The Escrow shall be deemed closed when (i) all documents required to be delivered to Buyer and Escrow Agent pursuant to this Agreement have been delivered or delivery of such document(s) has been waived; (ii) the Title Company is irrevocably committed to issuing the Title Policy; and (iii) all funds required to be delivered to Escrow Agent pursuant to this Agreement have been delivered. Buyer, at its election, may authorize Escrow Agent to close on the Properties all at once or individually in certain intervals. If Buyer authorizes Xxxxxx Agent to close on the Properties individually, Xxxxx shall deliver to Escrow Agent the portion of the Purchase Price representing payment due in connection with those Properties for which Escrow Agent has received authorization to close.

  • Tax Periods Beginning Before and Ending After the Closing Date The Company or the Purchaser shall prepare or cause to be prepared and file or cause to be filed any Returns of the Company for Tax periods that begin before the Closing Date and end after the Closing Date. To the extent such Taxes are not fully reserved for in the Company’s financial statements, the Sellers shall pay to the Company an amount equal to the unreserved portion of such Taxes that relates to the portion of the Tax period ending on the Closing Date. Such payment, if any, shall be paid by the Sellers within fifteen (15) days after receipt of written notice from the Company or the Purchaser that such Taxes were paid by the Company or the Purchaser for a period beginning prior to the Closing Date.
