Common use of Contractor’s Key Personnel Clause in Contracts

Contractor’s Key Personnel. Contractor’s duties under this Contract shall be performed on behalf of Contractor by XXXX, Contractor’s Key Personnel. Contractor represents and warrants that (1) Contractor’s Key Personnel has fulfilled all applicable requirements of the laws of the State of California to perform the Work under this Contract and has full authority to act for Contractor hereunder. Contractor’s Key Personnel shall perform the Work or oversee the performance of the Work described in the Specifications. Contractor’s Key Personnel shall not be changed during the term of the Contract without County’s prior written consent. County reserves the right to terminate this Contract pursuant to Section 1.13.F, “Termination of Contract for Cause and Written Assurances of Performance,” if Contractor’s Key Personnel should leave Contractor’s employ, or, if in County’s judgment, the Work hereunder is not being performed by Contractor’s Key Personnel.
