Construction Manager Obligations. As soon as practical and with all due speed after the occurrence of an event of Force Majeure affecting the Project or the ability of Construction Manager to perform its obligations under this Agreement, Construction Manager shall submit to Owner a report describing in as much detail as then practical: (a) the nature and causation of the event of Force Majeure; (b) the effects of the event of Force Majeure on the Project and on the ability of Construction Manager to perform its obligations under this Agreement; (c) the actions needed to be taken to mitigate and overcome the effects of the Force Majeure and to effect the continuation of any Project Service and estimates of attendant time and costs required for such purpose; (d) the extent to which Construction Manager could continue to perform its obligations under this Agreement and any additional costs that would be incurred in so doing, and (e) any other impacts of the event of Force Majeure and any other measures required to mitigate and overcome such impacts or otherwise address the effects of the event of Force Majeure. Promptly following Owner’s receipt of said report, Owner and Construction Manager shall negotiate in good faith and attempt to reach agreement on all such matters. Pending agreement on all such matters, Construction Manager shall continue to perform the Project Services to the extent possible having regard to the effects of the event of Force Majeure, but Construction Manager shall not be obligated to incur any expenses not provided for in this Agreement unless mutually agreed to by Construction Manager and Owner.

Construction Manager Obligations. Construction Manager shall not violate or knowingly permit to be violated by itself or any of its Subcontractors any conditions of the policy of insurance provided by Construction Manager under the terms of this Agreement and shall at all times satisfy the requirements of the insurance companies issuing them. All requirements imposed by the policies referred to above, and to be performed by Construction Manager shall likewise be imposed upon, assumed and performed by each of the Subcontractors. Construction Manager and each Subcontractor shall execute with their Subcontractors a written agreement, which shall include all such requirements.

  • Developer Obligations In accordance with applicable NYISO requirements, Developer shall maintain satisfactory operating communications with Connecting Transmission Owner and NYISO. Developer shall provide standard voice line, dedicated voice line and facsimile communications at its Large Generating Facility control room or central dispatch facility through use of either the public telephone system, or a voice communications system that does not rely on the public telephone system. Developer shall also provide the dedicated data circuit(s) necessary to provide Developer data to Connecting Transmission Owner and NYISO as set forth in Appendix D hereto. The data circuit(s) shall extend from the Large Generating Facility to the location(s) specified by Connecting Transmission Owner and NYISO. Any required maintenance of such communications equipment shall be performed by Developer. Operational communications shall be activated and maintained under, but not be limited to, the following events: system paralleling or separation, scheduled and unscheduled shutdowns, equipment clearances, and hourly and daily load data.

Connecting Transmission Owner and NYISO may provide operating instructions to Developer consistent with this Agreement, NYISO procedures and Connecting Transmission Owner’s operating protocols and procedures as they may change from time to time. Connecting Transmission Owner and NYISO will consider changes to their respective operating protocols and procedures proposed by Developer.
