Consent to Change of Control. Notwithstanding anything to the contrary set forth in the Credit Agreement or any other Loan Documents, but expressly conditioned upon the satisfaction of the terms and conditions of this Amendment, Agents and the Lenders hereby (a) consent to the Merger pursuant to the terms and conditions of the Merger Agreement and (b) agree that the consummation of the Merger pursuant to the Merger Agreement shall be deemed not to be, constitute or give rise to a “Change of Control” (as such term is defined in the Credit Agreement prior to giving effect to this Amendment), and, for all purposes under the Credit Agreement and each of the other Loan Documents, no Default or Event of Default shall arise or be deemed to have arisen as a result thereof.
Consent to Change of Control. The Parent Guarantor is contemplating a transaction that qualifies as a change of control of the Parent, as defined in section 7.11 of the Loan Agreement whereby Runcom Technologies Ltd. (the "Subscriber") is investing in the Parent Guarantor and the Subscriber will receive in exchange shares and warrants in the Parent Guarantor (the "Transaction"). The Lender consents to the Transaction, as required pursuant to sections 7.11 and 8.1(j) of the Loan Agreement.
Consent to Change of Control. The Borrower has advised the Bank that Cellu Tissue has agreed, subject to applicable shareholder approval to be acquired by Clearwater (the “Acquisition”). The Bank hereby consents to the Acquisition and waives any Default or Event of Default that would otherwise occur or exist under the Reimbursement Agreement, the Cellu Tissue Bank Guaranty or any other Loan Document as a result of the Acquisition and the Change of Control resulting therefrom. The Borrower expressly acknowledges and agrees that upon the closing of the Acquisition and the occurrence of the Change of Control resulting therefrom, the Revolving Credit Termination Date shall occur, the Revolving Credit Commitment shall be terminated and any outstanding Revolving Loans shall be due and payable in full. In addition, the Borrower specifically agrees that notwithstanding the fact that the Bank has, contemporaneously with the execution hereof by the Borrower, extended the expiration date of the Bonds Letter of Credit to February 15, 2012, in the event that the Change of Control Closing Date occurs, the Borrower shall, on or before September 30, 2011, cause the Bonds Letter of Credit to be replaced with a substitute letter of credit from a third party bank and shall cause the original Bonds Letter of Credit to be returned to the Bank with no unreimbursed draws having been made thereon. The failure of the Borrower to cause the original Bonds Letter of Credit to be so replaced and returned to the Bank by September 30, 2011 shall constitute an Event of Default hereunder.
Consent to Change of Control. Subject to the terms and conditions of this letter agreement, WMI (a) consents to the Change of Control of Cinram Germany and Cinram UK pursuant to the European Acquisition, (b) acknowledges and agrees that neither the European Acquisition (including the sale of the shares of the parent entity of Cinram Germany and Cinram UK) nor the Change of Control resulting thereby will constitute a breach, default or Termination Event under the terms of the Agreements and (c) waives any right of termination of the Agreements as a result of such Change of Control.

  • Termination Pursuant to a Change of Control If there is a Change of Control, as defined below, during the Term of Employment, the provisions of this Section 6(g) shall apply and shall continue to apply throughout the remainder of the Term (as extended by any Renewal Term). Upon a Change of Control, the Executive will become fully vested in any outstanding stock options, Restricted Stock or other stock grants awarded and become fully vested in all Company contributions made to the Executive’s 401(k), Profit Sharing or other retirement account(s). In addition, within thirty (30) days of the Change of Control, the Company shall pay to the Executive a lump sum equal to the Executive’s pro rata target cash bonus for the year in which the Change of Control occurred (as such may be set forth in the Company’s bonus plan for such year and calculated assuming target achievement of corporate and personal goals); such pro rata amount to be determined based on the actual date of the closing of such Change of Control transaction. If, within two (2) years following a Change of Control, the Executive’s employment is terminated by the Company without Cause (in accordance with Section 5(e) above) or by the Executive for “Good Reason” (as defined in Section 6(g)(ii) below), in lieu of any severance and other benefits payable under Section 6(e) or Section 6(f), subject to the Executive signing a general release of claims in a form and manner satisfactory to the Company and the lapse of any statutory revocation period, the Company shall pay to the Executive (or the Executive’s estate, if applicable) a lump sum amount equal to 1.5 times the sum of (x) the Executive’s Base Salary at the rate then in effect pursuant to Section 4(a), plus (y) an amount equal to the Executive’s cash bonus, if any, received in respect of the year immediately preceding the year of termination pursuant to Section 4(b) within thirty (30) days of the Date of Termination. Notwithstanding the foregoing, to the extent the cash severance payment to the Executive is considered deferred compensation subject to Section 409A of the Code, and if the Change of Control does not constitute a “change in control event” within the meaning of Section 409A of the Code, such cash severance shall be payable in installments over the same period as provided in Section 6(e). The Company shall also pay 100% of the costs to provide up to twelve (12) months of outplacement support services at a level appropriate for the Executive’s title and responsibility and provide the Executive with health and dental insurance continuation at a level consistent with the level and type the Executive had in place at the time of termination for a period of twelve (12) months from the Date of Termination.

  • Effect of Change of Control Upon a Change of Control, a number of Units shall, upon certification of performance by the Committee, convert into time-based restricted stock units (the “Time-Based Units”) calculated based on a performance period from January 1, 2021 through the end of the fiscal quarter immediately preceding the closing date of the transaction giving rise to the Change of Control; and provided further that the Date of Issuance in such case shall be December 31, 2023 subject to either (1) your continued employment through such date or (2) your Retirement, pursuant to Section 3(b)(iii). Upon your termination of employment by Capital One without Cause or for Good Reason (each as defined below), in either case on or prior to the second anniversary of the occurrence of a Change of Control of Capital One and prior to the Date of Issuance with respect to the Time-Based Units, then notwithstanding anything herein to the contrary, all of the Time-Based Units shall vest and the Shares shall be issuable in full without restrictions on transferability immediately upon the occurrence of your termination of employment following such Change of Control (to the extent not previously vested or forfeited as provided herein) and such date shall be the Date of Issuance; provided, however, that if the Time-Based Units are considered deferred compensation under Section 409A of the Code and not exempt from Section 409A of the Code as a short-term deferral or otherwise, and you are a “specified employee,” as defined in and pursuant to Reg. Section 1.409A 1(i) or any successor regulation, on the date of any such termination of employment without Cause or for Good Reason, you will not be entitled to such vesting earlier than the earlier of (i) the date which is six months from the date of your “separation from service” (as defined in Reg. Section 1.409A 1(h) or any successor regulation) as a result of such termination and (ii) your death. With respect to any Time-Based Units that have vested, the Shares related thereto shall be issued to you, in settlement of such vested Time-Based Units, on the Date of Issuance. Dividends will be accrued and paid out as additional shares at the time of the award, as provided in Section 6 below. All Time-Based Units, including your rights thereto and to the underlying Shares, which do not vest on or before the Date of Issuance, as provided in this Section 3, shall immediately be forfeited as of such Date of Issuance (to the extent not previously forfeited as provided herein).

  • Termination Following a Change of Control If the Employee's employment terminates at any time within eighteen (18) months following a Change of Control, then, subject to Section 5, the Employee shall be entitled to receive the following severance benefits:

Under such circumstances, Sharp shall be entitled to the severance benefits set forth in Section 4(d) and any benefits granted her in the Company’s Equity Plan.

  • Termination Apart from Change of Control In the event the Employee’s employment is terminated for any reason, either prior to the occurrence of a Change of Control or after the twelve (12) month period following a Change of Control, then the Employee shall be entitled to receive severance and any other benefits only as may then be established under the Company’s (or any subsidiary’s) then existing severance and benefits plans or pursuant to other written agreements with the Company.

  • Termination Apart from a Change of Control If the Employee's employment with the Company terminates other than as a result of an Involuntary Termination within the twelve (12) months following a Change of Control, then the Employee shall not be entitled to receive severance or other benefits hereunder, but may be eligible for those benefits (if any) as may then be established under the Company's then existing severance and benefits plans and policies at the time of such termination.

  • Notice of Change of Control Each occasion that any Change of Control shall occur and such notice shall set forth in reasonable detail the particulars of each such occasion.
