Consent Required for Vendor to Subcontract. The Vendor shall not, without the prior written consent of Impsat, which consent shall not be unreasonably withheld or delayed, subcontract all or any portion of its obligations under this Agreement where the value of the subcontract exceeds [ ] U.S. Dollars (US $[ ]); provided, however, that until financing is available under the Vendor Financing Agreement, Vendor shall not, without the prior written consent of Impsat, which consent shall not be unreasonably withheld or delayed, subcontract all or any portion of its obligation under this Agreement where the value of the subcontract exceeds [ ] Dollars (US$[ ]); provided, further, that within thirty (30) days of the date hereof, Vendor shall provide to Impsat for Impsat's approval a list of all Subcontractors for Civil Work, and Vendor agrees not to use Subcontractors for Civil Work who are not contained on such list without Impsat's prior written consent.

  • Definitions; Consent Required The term "Utility Installations" is used in this Lease to refer to all air lines, power panels, electrical distribution, security, fire protection systems, communications systems, lighting fixtures, heating, ventilating and air conditioning equipment, plumbing, and fencing in, on or about the Premises. The term "Trade Fixtures" shall mean Lessee's machinery and equipment which can be removed without doing material damage to the Premises.
