The obligations of the Investor to be discharged under this Agreement at the Funding are subject to (a) the Closing not having occurred, (b) this Agreement remaining in full force and effect and (c) satisfaction at or prior to the Funding (unless expressly waived in writing by the Investor at or prior to the Funding) of the conditions to the Funding set forth in the Note Agreement.
