Common use of Compliance with Laws, Rules and Regulations Clause in Contracts

Compliance with Laws, Rules and Regulations. Lessee, at Lessee's sole cost and expense, shall comply with all laws, ordinances, orders rules and regulations of state, federal, municipal or other agencies or bodies having jurisdiction over the use, condition or occupancy of the Leased Premises. Lessee shall procure at its own expense all permits and licenses required for the transaction of its business in the Leased Premises. Lessee will comply with the rules and regulations of the Property adopted by Lessor which are set forth on a schedule attached to this Lease. If Lessee is not complying with such rules and regulations, or if Lessee is in any way not complying with this Article 3, then notwithstanding anything to the contrary contained herein, Lessor, may, at its election, enter the Leased Premises without liability therefor and fulfill Lessee's obligations. Lessee shall reimburse Lessor on demand for any expenses which Lessor may incur in effecting compliance with Lessee's obligations and agrees that Lessor shall not be liable for any damages resulting to Lessee from such action. Lessor shall have the right at all times to change and amend the rules and regulations in any reasonable manner as it may deem advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Property or the Leased Premises. All changes and amendments to the rules and regulations of the Property will be forwarded by Lessor to Lessee in writing and shall thereafter be carried out and observed by Lessee.

Compliance with Laws, Rules and Regulations. LesseeExcept as otherwise provided in this Section 11.C., from and after the Commencement Date, Tenant shall, at Lessee's its sole cost and expense, shall cause the Premises and Tenant’s use thereof to comply with all laws, ordinances, orders orders, rules and regulations of state, federal, municipal or other agencies or bodies having jurisdiction over the use, condition or occupancy of the Leased Premises. Lessee Any repairs, alterations or modifications to the exterior or structural elements of the Building or to the Common Areas of the Project necessary to comply with applicable laws shall procure at its own expense all permits be made by Landlord and licenses required shall be included within the definition of Operating Expenses and reimbursed to Landlord under Section 7 of this Lease, provided, however, Tenant shall be solely responsible and shall reimburse Landlord for the transaction entire cost and expense of its business in such work if compliance is necessary due to Tenant’s specific use or occupancy of the Leased PremisesPremises or due to Tenant’s acts or omissions, or as a result of any alterations, modifications or improvements to the Premises or Building constructed by or on behalf of Tenant. Lessee Tenant will also comply with the reasonable rules and regulations of the Property Project adopted by Lessor which are set forth on a schedule attached to this LeaseLandlord. If Lessee is not complying with such rules and regulations, or if Lessee is in any way not complying with this Article 3, then notwithstanding anything to the contrary contained herein, Lessor, may, at its election, enter the Leased Premises without liability therefor and fulfill Lessee's obligations. Lessee shall reimburse Lessor on demand for any expenses which Lessor may incur in effecting compliance with Lessee's obligations and agrees that Lessor shall not be liable for any damages resulting to Lessee from such action. Lessor Landlord shall have the right at all times times, upon thirty (30) days prior written notice to Tenant, to change and amend the rules and regulations in any reasonable manner as it may deem be deemed advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Property Project or the Leased Premises. All changes and amendments to the rules and regulations of the Property Project, and amendments or modifications thereof, will be forwarded sent by Lessor Landlord to Lessee Tenant in writing and shall thereafter be carried out and observed by LesseeTenant.

Compliance with Laws, Rules and Regulations. Lessee Tenant will also comply with the reasonable rules and regulations of the Property Project adopted by Lessor which are set forth on a schedule attached to this LeaseLandlord. If Lessee is not complying with such rules and regulations, or if Lessee is in any way not complying with this Article 3, then notwithstanding anything to the contrary contained herein, Lessor, may, at its election, enter the Leased Premises without liability therefor and fulfill Lessee's obligations. Lessee shall reimburse Lessor on demand for any expenses which Lessor may incur in effecting compliance with Lessee's obligations and agrees that Lessor shall not be liable for any damages resulting to Lessee from such action. Lessor Landlord shall have the right at all times times, upon thirty (30) days’ prior written notice to Tenant, to change and amend the rules and regulations in any reasonable manner as it may deem be deemed advisable for the safety, care, cleanliness, compliance with all applicable governmental laws and regulations and preservation of good order and operation or use of the Property Project or the Leased Premises. All changes and amendments to the rules and regulations of the Property Project, and amendments or modifications thereof, will be forwarded sent by Lessor Landlord to Lessee Tenant in writing and shall thereafter be carried out and observed by LesseeTxxxxx, and Txxxxx’s failure to adhere to such rules and regulations may be considered an event of Default pursuant to Section 18 of this Lease. Notwithstanding anything to the contrary herein, Tenant shall not be required to comply with any new rule or regulation unless the same applies non-discriminatorily to all occupants of the Building, does not unreasonably interfere with Txxxxx’s use of the Premises or Tenant’s parking rights and does not materially increase the obligations or decrease the rights of Tenant under this Lease.

Compliance with Laws, Rules and Regulations. Lessee24.1 Tenant, at LesseeTenant's sole cost and own expense, (a) shall comply with all federal, state, municipal, fire underwriting and other laws, ordinances, orders orders, rules and regulations applicable to the Premises and the business conducted therein by Tenant, (b) shall not engage in any activity which would cause Landlord's fire and extended coverage insurance to be cancelled or the rate therefor to be increased (or, at Landlord's option, Tenant shall pay any such increase to Landlord immediately upon demand as additional rental in the event of such rate increase by reason of such activity), (c) shall not commit, and shall cause Tenant's agents, employees and invitees not to commit, any act which is a nuisance or annoyance to Landlord or to other tenants, or which might, in the reasonable judgment of Landlord, damage Landlord's goodwill or reputation, or tend to injure or depreciate the Building, (d) shall not commit or permit waste in the Premises or the Building, (e) shall not paint, erect or display any sign, advertisement, placard or lettering which is visible in the corridors or lobby of the Building or from the exterior of the Building without Landlord's prior written approval, and (f) shall not occupy or use, or permit any portion of the Premises to be occupied or used, for any business or purpose other than the Permitted Use specified in Paragraph l.P. hereof. If a controversy arises concerning Tenant's compliance with any federal, state, federal, municipal or other agencies laws, ordinances, orders, rules or bodies having jurisdiction over regulations applicable to the usePremises and the business conducted therein by Tenant, condition or occupancy Landlord may retain consultants of the Leased Premises. Lessee shall procure at its own expense all permits and licenses required for the transaction of its business in the Leased Premises. Lessee will comply with the rules and regulations of the Property adopted by Lessor which are set forth on a schedule attached recognized standing to this Leaseinvestigate Tenant's compliance. If Lessee it is determined that Tenant has not complying with such rules and regulationscomplied as required, or if Lessee is in any way not complying with this Article 3, then notwithstanding anything to the contrary contained herein, Lessor, may, at its election, enter the Leased Premises without liability therefor and fulfill Lessee's obligations. Lessee Tenant shall reimburse Lessor Landlord on demand for any all reasonable and necessary expenses which Lessor may incur and fees incurred by Landlord in effecting compliance with Lessee's obligations and agrees that Lessor shall not be liable for any damages resulting to Lessee from conducting such action. Lessor shall have the right at all times to change and amend the rules and regulations in any reasonable manner as it may deem advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Property or the Leased Premises. All changes and amendments to the rules and regulations of the Property will be forwarded by Lessor to Lessee in writing and shall thereafter be carried out and observed by Lesseeinvestigation.

Compliance with Laws, Rules and Regulations. LesseeLandlord represents, to the best of its knowledge, that the Building is constructed to satisfy all applicable local, state and federal codes and requirements, including all requirements of the Americans with Disabilities Act, and shall maintain said compliance during the term of this Lease. Tenant, at LesseeTenant's sole cost and expense, shall comply with all laws, ordinances, orders orders, rules and regulations of state, federal, municipal or other agencies or bodies having jurisdiction over the use, condition or occupancy of the Leased Premises. Lessee Tenant shall procure at its own expense all permits and licenses required for the transaction of its business in the Leased Premises. Lessee Tenant will comply with the rules and regulations of the Property as adopted by Lessor which are Landlord from time to time; a copy of the current Rules and Regulations is set forth on a schedule attached to this Lease. If Lessee Tenant is not complying with such rules and regulations, or if Lessee Tenant is in any way not complying with this Article 3, then then, notwithstanding anything to the contrary contained herein, Lessorafter written notice to Tenant and expiration of a five (5) day cure period, Landlord may, at its election, enter the Leased Premises without liability therefor and fulfill LesseeTenant's obligations. Lessee Tenant shall reimburse Lessor Landlord on demand for any expenses which Lessor Landlord may incur in effecting compliance with LesseeTenant's obligations and agrees that Lessor Landlord shall not be liable for any damages resulting to Lessee Tenant from such action. Lessor Landlord shall have the right at all times to change and amend the rules and regulations in any reasonable manner as it may deem advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Property or the Leased Premises. All changes and amendments amendment to the rules and regulations of the Property will be subject to reasonable notice to Tenant forwarded by Lessor Landlord to Lessee Tenant in writing and shall thereafter be carried out and observed by LesseeTenant.

Compliance with Laws, Rules and Regulations. Lessee shall not use the Premises or permit anything to be done in or about the Premises which will in any way conflict with any law, stature, ordinance or governmental rule or regulation now in force or which may hereafter be enacted or promulgated. Lessee shall at its sole cost and expense promptly comply with all laws, statues, ordinances or governmental rules, regulations and requirements now in force or which may hereafter be in force and with the reasonable requirements of any insurer, underwriter or other similar entity now or hereafter relating to or affecting the condition, use or occupancy of the Premises, excluding structural changes not related to or affected by Lessee's improvements or acts. Lessee shall be solely responsible for compliance with the provisions of the Americans with Disabilities Act (the "ADA") as it applies to Lessee's business and the Premises. Lessor shall be solely responsible for compliance with the provisions of the ADA as it applies to the Building. Lessor makes no warranty express of implied that Lessee's intended use of the Premises is suitable or allowable under any applicable governmental code, statue or regulation. Lessee, at Lessee's sole cost and expense, shall comply with all laws, ordinances, orders orders, rules and regulations of state, federal, municipal or other their agencies or bodies having jurisdiction over the use, condition or and occupancy of the Leased Premises. Lessee shall procure at its own expense all permits and licenses required for the transaction of its business in the Leased Premises. Lessee will comply with the rules and regulations of the Property building adopted by Lessor which are set forth on a schedule attached to this Lease. If Lessee is not complying with such rules and regulations, or if Lessee is in any way not complying with this Article 3, then notwithstanding anything to the contrary contained herein, Lessor, may, at its election, enter the Leased Premises without liability therefor and fulfill Lessee's obligations. Lessee shall reimburse Lessor on demand for any expenses which Lessor may incur in effecting compliance with Lessee's obligations and agrees that Lessor shall not be liable for any damages resulting to Lessee from such action. Lessor shall have the right at all times to change and amend the rules and regulations in any reasonable manner as it may deem be deemed advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Property building or the Leased Premises. All changes and amendments to the rules and regulations of the Property building will be forwarded sent by Lessor to Lessee in writing and shall thereafter be carried out and observed by Lessee.

Compliance with Laws, Rules and Regulations. Lessee, at Lessee's ’s sole cost and expense, shall comply with all laws, ordinances, orders orders, rules and regulations of state, federal, municipal or other agencies or bodies having jurisdiction over the use, condition or occupancy of the Leased Premises. If Lessee is not complying with such rules and regulations, or if Lessee is in any way not complying with this Article 3, then notwithstanding anything to the contrary contained herein, Lessor, may, at its election, enter the Leased Premises without liability therefor and fulfill Lessee's ’s obligations. Lessee shall reimburse Lessor on demand for any expenses which Lessor may incur in effecting compliance with Lessee's ’s obligations and agrees that Lessor shall not be liable for any damages resulting to Lessee from such action. Lessor shall have the right at all times to enforce (or not), change and amend the rules and regulations in any reasonable manner as it may deem advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Property or the Leased Premises. All changes and amendments to the rules and regulations of the Property will be forwarded by Lessor to Lessee in writing and shall thereafter be carried out and observed by Lessee.

Compliance with Laws, Rules and Regulations. LesseeTenant, at LesseeTenant's sole cost and expense, shall comply with all laws, ordinances, orders orders, rules and regulations of state, federal, municipal or other agencies or bodies having jurisdiction over the use, condition or and occupancy of the Leased Premises applying to or resulting from Xxxxxx's specific use of the Premises. Lessee Landlord, at Landlord's sole cost and expense, shall procure at its own expense comply with all permits laws, ordinances, orders, rules and licenses required for regulations of state, federal, municipal or other agencies or bodies having jurisdiction over use, condition and occupancy of the transaction Premises which generally affect the Premises and do not apply to or result from Tenant's specific use of its business in the Leased Premises. Lessee Tenant will comply with the rules and regulations of the Property building and/or the project of which the Premises are a part, adopted by Lessor Landlord which are set forth on a schedule Exhibit "D", attached to this LeaseAgreement and hereby made a part hereof. If Lessee is not complying with such rules and regulations, or if Lessee is in any way not complying with this Article 3, then notwithstanding anything to the contrary contained herein, Lessor, may, at its election, enter the Leased Premises without liability therefor and fulfill Lessee's obligations. Lessee shall reimburse Lessor on demand for any expenses which Lessor may incur in effecting compliance with Lessee's obligations and agrees that Lessor shall not be liable for any damages resulting to Lessee from such action. Lessor Landlord shall have the right at all times to change and amend the rules and regulations in any reasonable manner as it may deem advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Property or Premises and the Leased Premisesbuilding and/or the project of which the Premises are a part. All changes and amendments to the such rules and regulations of the Property will be forwarded sent by Lessor to Lessee Landlord and Xxxxxx in writing and shall thereafter be carried out and observed by LesseeXxxxxx.

Compliance with Laws, Rules and Regulations. Lessee, at Lessee's ’s sole cost and expense, shall comply in all material respects with all laws, ordinances, orders orders, rules and regulations of state, federal, municipal or other agencies or bodies having jurisdiction over the Lessee’s specific use, condition or occupancy of the Leased Premisesleased premises. Lessee Notwithstanding the foregoing, Lessor shall procure at its own expense bear the risk of complying with Title III of the Americans With Disabilities Act of 1990, any state laws governing handicapped access or architectural barriers, and all permits rules, regulations, and licenses required for guidelines promulgated under such laws, as amended from time to time, as same affect the transaction of its business in Building (including the Leased Premisesleased premises) and the Land. Lessee will comply with the rules and regulations of the Property adopted by Lessor Building which are set forth on a schedule Schedule 1 attached to this Lease. If Lessee is not complying with such rules and regulations, or if Lessee is in any way not complying with this Article 3, then notwithstanding anything to the contrary contained herein, Lessor, may, at its election, enter the Leased Premises without liability therefor and fulfill Lessee's obligations. Lessee shall reimburse Lessor on demand for any expenses which Lessor may incur in effecting compliance with Lessee's obligations and agrees that Lessor shall not be liable for any damages resulting to Lessee from such action. Lessor shall have the right at all times to change and amend the rules and regulations in any reasonable manner as it may deem be deemed advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Property Building or the Leased Premisesleased premises, provided that such changes and amendments are applicable to all tenants of the Building, will not unreasonably interfere with Lessee’s use of the leased premises and are enforced by Lessor in a non-discriminatory manner. If a change or amendment materially affects Lessee (as determined by Lessee in the exercise of its reasonable business judgment), then Lessor shall obtain Lessee’s prior written consent to such change or amendment prior to implementation of same. All changes and amendments to the rules and regulations of the Property Building will be forwarded sent by Lessor to Lessee in writing and shall thereafter be carried out and observed by Lessee.

Compliance with Laws, Rules and Regulations. Lessee12.1 (a) Tenant covenants and agrees that, except as otherwise set forth in this Section 12, it will, at Lessee's sole cost and expenseits own cost, shall promptly comply with and carry out all lawsLegal Requirements, ordinancesincluding, orders rules and regulations but not limited to Environmental Laws, as defined below, to the extent that same apply to the manner of state, federal, municipal Tenant’s occupation or other agencies or bodies having jurisdiction over the use, condition or occupancy use of the Leased Premises, the conduct of Tenant’s business therein, the construction of any Alterations to the Leased Premises by or on behalf of Tenant, any termination of this Lease and surrender of possession by Tenant, or any acts, omissions or other activities of Tenant in or on the Office Park. Lessee Subject to the foregoing, to the extent that any Legal Requirements require modifications to the Leased Premises or the Building, in order to bring same into compliance with Legal Requirements and such Legal Requirements were in effect prior to the date of this Lease, Landlord shall procure at its own expense all permits and licenses required be responsible for the transaction compliance of its business in the Leased Premises. Lessee will comply with the rules and regulations of the Property adopted by Lessor which are set forth on a schedule attached to this Lease. If Lessee is not complying such items with such rules and regulations, or if Lessee is in any way not complying with this Article 3, then notwithstanding Legal Requirements at Landlord’s cost. Notwithstanding anything to the contrary contained hereinin this Lease, LessorLandlord shall be responsible for, may, at its election, enter and Tenant shall not be required to comply with or cause the Leased Premises without liability therefor and fulfill Lessee's obligations. Lessee shall reimburse Lessor on demand for to comply with, any expenses which Lessor may incur in effecting laws, rules, regulations or insurance requirements that require the construction of alterations unless such compliance with Lessee's obligations and agrees that Lessor shall not be liable for any damages resulting is necessitated solely due to Lessee from such action. Lessor shall have the right at all times to change and amend the rules and regulations in any reasonable Tenant’s particular manner as it may deem advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Property or alterations to the Leased Premises. All changes and amendments to the rules and regulations of the Property will be forwarded by Lessor to Lessee in writing and shall thereafter be carried out and observed by Lessee.

Compliance with Laws, Rules and Regulations. Lessor makes no warranty express or implied that Lessee's intended use of the Premises is suitable or allowable under any applicable governmental code, statute or regulation. Lessee, at Lessee's sole cost and expense, shall comply with all laws, ordinances, orders orders, rules and regulations of state, federal, municipal or other their agencies or bodies having jurisdiction over the use, condition or and occupancy of the Leased Premises. Lessee shall procure at its own expense all permits and licenses required for the transaction of its business in the Leased Premisesleased premises. Lessee will comply with the rules and regulations of the Property building adopted by Lessor which are set forth on a schedule attached to this Lease. If Lessee is not complying with such rules and regulations, or if Lessee is in any way not complying with this Article 3, then notwithstanding anything to the contrary contained herein, Lessor, may, at its election, enter the Leased Premises without liability therefor and fulfill Lessee's obligations. Lessee shall reimburse Lessor on demand for any expenses which Lessor may incur in effecting compliance with Lessee's obligations and agrees that Lessor shall not be liable for any damages resulting to Lessee from such action. Lessor shall have the right at all times to change and amend the rules and regulations in any reasonable manner as it may deem be deemed advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Property building or the Leased Premisesleased premises. Compliance with Laws, Rules and Regulations. LesseeTenant, at Lessee's Tenant’s sole cost and expense, shall comply with all laws, ordinances, orders orders, rules and regulations of state, federal, municipal or other agencies or bodies having jurisdiction over the use, condition or occupancy of the Leased Premises. Lessee Tenant shall procure at its own expense all permits and licenses required for the transaction of its business in the Leased Premises. Lessee Tenant will comply with the rules and regulations of the Property adopted from time to time by Lessor Landlord, a copy of which are set forth on a schedule attached rules and regulations will be delivered to Tenant and which shall not materially or adversely affect the terms of this Lease. If Lessee is not complying with such rules and regulations, or if Lessee is in any way not complying with this Article 3, then notwithstanding anything to the contrary contained herein, Lessor, may, at its election, enter the Leased Premises without liability therefor and fulfill Lessee's obligations. Lessee Tenant shall reimburse Lessor Landlord on demand for any expenses which Lessor Landlord may incur in effecting compliance with Lessee's Tenant’s obligations and agrees that Lessor Landlord shall not be liable for any damages resulting to Lessee Tenant from such action. Lessor Landlord shall apply the rules in a non-discriminatory manner to Tenant and have the right at all times to change and amend the rules and regulations in any reasonable manner as it may deem advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Property or the Leased Premises. All changes and amendments to the rules and regulations of the Property will be forwarded by Lessor Landlord to Lessee Tenant in writing and shall thereafter be carried out and observed by LesseeTenant. With respect to any alteration or installation of improvements, fixtures or facilities required by any legal requirement (including the Americans with Disabilities Act of 1990), Tenant shall be responsible for compliance at its expense to the extent such requirement is applicable to the Premises. Landlord will, at its expense comply with any such requirement to the extent applicable to the Common Areas; provided, however, that to the extent that the requirement would not have applied but for this Lease or Tenant’s specific use of the Premises or an act or omission of Tenant, its employees, agents or invitees; or in the event Tenant occupies a full floor in the Building, then Tenant shall pay the cost of such compliance to Landlord on demand.

Compliance with Laws, Rules and Regulations. LesseeTenant shall, at Lessee's its sole cost and expenseexpense (except as may be expressly provided otherwise by this Lease), shall comply use and occupy the Premises in compliance with all applicable federal, state, county and municipal laws, ordinances, orders rules and regulations now or hereafter in force, including the Americans with Disabilities Act of state1990, federaland in compliance with any declarations and other covenants of title applicable to the Premises, municipal or other agencies or bodies having jurisdiction over the use, condition or occupancy true and correct copies of the Leased Premiseswhich have been provided by Landlord to Tenant and which are listed and referenced in Schedule 9 to this Lease. Lessee shall procure at its own expense all permits and licenses required for the transaction of its business in the Leased Premises. Lessee Tenant will comply with the rules Rules and regulations Regulations of the Property Premises adopted by Lessor Landlord which are set forth on a schedule attached in Exhibit "B" to this Lease. If Lessee is not complying with such rules Landlord represents and regulations, or if Lessee is in any way not complying with this Article 3, then notwithstanding anything warrants to Tenant that Landlord has delivered to Tenant true and correct copies of all declarations and other covenants of title which are recorded among the public land records as of the date hereof and which are applicable to the contrary contained hereinPremises and affect the use thereof, Lessor, may, at its election, and Landlord shall not enter into any declarations or covenants which shall affect the Leased Tenant's use of the Premises without liability therefor and fulfill Lesseethe Tenant's obligations. Lessee shall reimburse Lessor on demand for any expenses prior consent, which Lessor may incur in effecting compliance with Lessee's obligations and agrees that Lessor consent shall not be liable for any damages resulting to Lessee from such actionunreasonably withheld or delayed. Lessor shall have To Landlord's knowledge, no declarations, covenants or easements, or other contracts or agreements, exist which affect the right at all times to change and amend the rules and regulations in any reasonable manner as it may deem advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Property or the Leased Premises. All changes Premises but which are not listed in Schedule 9 hereto (other than public laws and amendments to the rules and regulations of the Property will be forwarded by Lessor to Lessee in writing and shall thereafter be carried out and observed by Lesseeregulations).

Compliance with Laws, Rules and Regulations. LesseeTenant, at LesseeTenant's sole cost and expense, shall comply with all laws, ordinances, orders orders, rules and regulations of state, federal, municipal or other agencies or bodies having jurisdiction over the use, condition or occupancy of the Leased Premises. Lessee Tenant shall procure at its own expense all permits and licenses required for the transaction of its business in the Leased Premises. Lessee Tenant will comply with the rules and regulations of the Property Properly adopted by Lessor Landlord which are set forth on a schedule in Exhibit D attached to this Lease. If Lessee Tenant is not complying with such rules and regulations, or if Lessee Tenant is in any way not complying with this Article 3, then then, notwithstanding anything to the contrary contained herein, LessorLandlord, may, may at its election, enter the Leased Premises without liability therefor and fulfill LesseeTenant's obligations. Lessee Tenant shall reimburse Lessor Landlord on demand for any expenses which Lessor Landlord may incur in effecting compliance with LesseeTenant's obligations and agrees that Lessor Landlord shall not be liable for any damages resulting to Lessee from Tenant for such action. Lessor Landlord shall have the right at all times to change and amend the rules and regulations in any reasonable manner as it may deem advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Property or the Leased Premises. All changes and amendments to the rules and regulations of the Property will be forwarded by Lessor Landlord to Lessee Tenant in writing and shall thereafter be by carried out and observed by LesseeTenant.

Compliance with Laws, Rules and Regulations. LesseeTenant, at Lessee's Tenant’s sole cost and expense, shall comply with all laws, ordinances, orders orders, rules and regulations of stateState, federalFederal, municipal Municipal or other agencies or bodies having jurisdiction over the use, condition or use and occupancy of the Leased Premises. Lessee Tenant shall procure at its own expense all permits and licenses required for the transaction of its business in the Leased Premises. Lessee Tenant will comply with the rules and regulations of the Property adopted by Lessor the Landlord, which are set forth on a schedule attached to this Leaselease. If Lessee Tenant is not complying with such rules and regulations, or if Lessee Tenant is in any way not complying with this Article 340, then then, notwithstanding anything to the contrary contained herein, LessorLandlord, may, at its election, enter the Leased Premises without liability therefor and fulfill Lessee's Tenant’s obligations. Lessee Tenant shall reimburse Lessor Landlord, on demand demand, for any expenses which Lessor expenses, 0which Landlord may incur in effecting compliance with Lessee's Xxxxxx’s obligations and agrees that Lessor Landlord shall not be liable for any damages resulting to Lessee Tenant from such action. Lessor Landlord shall have the right at all times to change and amend the rules and regulations in any reasonable manner as it may deem advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Property or property of the Leased Premises. All changes and amendments to the rules and regulations of the Property will be forwarded by Lessor Landlord to Lessee Tenant in writing and shall thereafter be carried out and observed by LesseeXxxxxx.

Compliance with Laws, Rules and Regulations. Lessee24.1 Tenant, at LesseeTenant's sole cost and own expense, (a) shall comply with all federal, state, municipal, fire underwriting and other laws, ordinances, orders orders, rules and regulations applicable to the Premises and the business conducted therein by Tenant, (b) shall not engage in any activity which would cause Landlord's fire and extended coverage insurance to be cancelled or the rate therefor to be increased (or, at Landlord's option, Tenant shall pay any such increase to Landlord immediately upon demand as additional rental in the event of such rate increase by reason of such activity), (c) shall not commit, and shall cause Tenant's agents, employees and invitees not to commit, any act which is a nuisance or annoyance to Landlord or to other tenants, or which might, in the exclusive judgment of Landlord, damage Landlord's goodwill or reputation, or tend to injure or depreciate the Building, (d) shall not commit or permit waste in the Premises or the Building, (e) shall not paint, erect or display any sign, advertisement, placard or lettering which is visible in the corridors or lobby of the Building or from the exterior of the Building without Landlord's prior written approval, and (f) shall not occupy or use, or permit any portion of the Premises to be occupied or used, for any business or purpose other than the Permitted Use specified in Paragraph l.P. hereof. If a controversy arises concerning Tenant's compliance with any federal, state, federal, municipal or other agencies laws, ordinances, orders, rules or bodies having jurisdiction over regulations applicable to the usePremises and the business conducted therein by Tenant, condition or occupancy Landlord may retain consultants of the Leased Premises. Lessee shall procure at its own expense all permits and licenses required for the transaction of its business in the Leased Premises. Lessee will comply with the rules and regulations of the Property adopted by Lessor which are set forth on a schedule attached recognized standing to this Leaseinvestigate Tenant's compliance. If Lessee it is determined that Tenant has not complying with such rules and regulationscomplied as required, or if Lessee is in any way not complying with this Article 3, then notwithstanding anything to the contrary contained herein, Lessor, may, at its election, enter the Leased Premises without liability therefor and fulfill Lessee's obligations. Lessee Tenant shall reimburse Lessor Landlord on demand for any expenses which Lessor may incur all consulting and other costs incurred by Landlord in effecting compliance with Lessee's obligations and agrees that Lessor shall not be liable for any damages resulting to Lessee from such action. Lessor shall have the right at all times to change and amend the rules and regulations in any reasonable manner as it may deem advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Property or the Leased Premises. All changes and amendments to the rules and regulations of the Property will be forwarded by Lessor to Lessee in writing and shall thereafter be carried out and observed by Lesseeinvestigation.

Compliance with Laws, Rules and Regulations. LesseeTenant, at Lessee's Tenant’s sole cost and expense, shall comply with all laws, ordinances, orders orders, rules and regulations of state, federal, municipal or other agencies or bodies having jurisdiction over the use, condition or occupancy of the Leased Premises. Lessee Tenant shall procure at its own expense all permits and licenses required for the transaction of its business in the Leased Premises. Lessee Tenant will comply with the rules and regulations of the Property adopted by Lessor Landlord, which are set forth on a schedule in Exhibit “E” attached to this Lease. If Lessee Tenant is not complying with such rules and regulations, or if Lessee Tenant is in any way not complying with this Article 3, then then, notwithstanding anything to the contrary contained herein, Lessor, Landlord may, at its election, enter the Leased Premises without liability therefor and fulfill Lessee's Tenant’s obligations. Lessee Tenant shall reimburse Lessor Landlord on demand for any expenses which Lessor Landlord may incur in effecting compliance with Lessee's Tenant’s obligations and agrees that Lessor Landlord shall not be liable for any damages resulting to Lessee Tenant from such action. Lessor Landlord shall have the right at all times to change and amend the rules and regulations in any reasonable manner as it may deem advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Property or the Leased Premises. All changes and amendments to the rules and regulations of the Property will be forwarded by Lessor Landlord to Lessee Tenant in writing and shall thereafter be carried out and observed by LesseeTenant. With respect to any alteration or installation of improvements, fixtures or facilities required by any legal requirement (including the Americans With Disabilities Act of 1990), Tenant shall be responsible for compliance at its expense to the extent such requirement is applicable to the Premises. Landlord will, at its expense comply with any such requirement to the extent applicable to the Common Areas; provided, however, that to the extent that the requirement would not have applied but for this Lease or Tenant’s specific use of the Premises or an act or mission of Tenant, its employees, agents or invitees, then Tenant shall pay the cost of such compliance to Landlord on demand.

Compliance with Laws, Rules and Regulations. LesseeExcept as set forth below, Tenant, at LesseeTenant's sole cost and expense, shall comply with all laws, ordinances, orders orders, rules and regulations of state, federal, municipal or other agencies or bodies having jurisdiction over the use, condition condition, or occupancy of the Leased Premises. Lessee shall procure at its own expense all permits and licenses required for the transaction of its business in the Leased Premises. Lessee Tenant will comply with the rules and regulations of the Property Building adopted by Lessor Landlord which are set forth on Exhibit C attached hereto and made a schedule attached to this Leasepart hereof for all purposes. If Lessee is not complying with such rules and regulations, or if Lessee is in any way not complying with this Article 3, then notwithstanding anything to the contrary contained herein, Lessor, may, at its election, enter the Leased Premises without liability therefor and fulfill Lessee's obligations. Lessee shall reimburse Lessor on demand for any expenses which Lessor may incur in effecting compliance with Lessee's obligations and agrees that Lessor shall not be liable for any damages resulting to Lessee from such action. Lessor Landlord shall have the right at all times to change and amend the rules and regulations in any reasonable manner as it may deem be deemed advisable for the safety, care, cleanliness, preservation of good order order, and operation or use of the Property Building or the Leased Premises. All reasonable changes and amendments to the rules and regulations of the Property Building will be forwarded sent by Lessor Landlord to Lessee Tenant in writing and shall thereafter be carried out and observed by LesseeTenant. Except as expressly set forth below, in no event shall Tenant be required to make any capital improvements or other alterations or improvements to the Building or the Project (other than the Leased Premises). Any additions or improvements to the Building or the Project, including, without limitation, the restrooms, required by any existing law, ordinance, order, rule or regulation shall be performed by Landlord, prior to Tenant's occupancy of the Leased Premises and at Landlord's sole cost and expense, unless such alteration or improvement is necessitated as a result of a specific activity of Tenant in the Leased Premises (and not as a result of occupancy in general or occupancy for general office space).

Compliance with Laws, Rules and Regulations. LesseeTenant, at Lessee's Tenant’s sole cost and expense, shall comply with all laws, ordinances, orders orders, rules and regulations of state, federal, municipal or other agencies or bodies having jurisdiction over the use, condition or occupancy of the Leased Premises. Lessee Tenant shall procure at its own expense all permits and licenses required for the transaction of its business in the Leased Premises. Lessee Tenant will comply with the rules and regulations of the Property adopted by Lessor Landlord, which are set forth on a schedule in Exhibit “D” attached to this Lease. If Lessee Tenant is not complying with such rules and regulations, or if Lessee Tenant is in any way not complying with this Article 3, then then, notwithstanding anything to the contrary contained herein, Lessor, Landlord may, at its election, enter the Leased Premises without liability therefor and fulfill Lessee's Tenant’s obligations. Lessee Tenant shall reimburse Lessor Landlord on demand for any expenses which Lessor Landlord may incur in effecting compliance with Lessee's Tenant’s obligations and agrees that Lessor Landlord shall not be liable for any damages resulting to Lessee Tenant from such action. Lessor Landlord shall have the right at all times to change and amend the rules and regulations in any reasonable manner as it may deem advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Property or the Leased Premises. All changes and amendments to the rules and regulations of the Property will be forwarded by Lessor Landlord to Lessee Tenant in writing and shall thereafter be carried out and observed by LesseeTenant. Compliance with Laws, Rules and Regulations. LesseeTenant, at Lessee's Tenant’s sole cost and expense, shall comply with all laws, ordinances, orders orders, rules and regulations of any and all state, federal, municipal or and/or other agencies or and/or bodies having jurisdiction over the use, condition or occupancy of the Leased Premises, or which are applicable in the jurisdiction(s) in which the Property is located (all of the foregoing, the “Legal Requirements”). Lessee Tenant shall procure at its own expense all permits and licenses required for the transaction of its business in the Leased Premises. Lessee Tenant will comply with the rules Rules and regulations Regulations of the Property adopted by Lessor Landlord which are set forth on a schedule in Exhibit “D” attached to this Lease. If Lessee Tenant is not complying with such rules the Rules and regulationsRegulations, or if Lessee Tenant is in any way not complying with any term or provision of this Article 3, then then, notwithstanding anything to the contrary contained herein, Lessor, Landlord may, at its election, enter the Leased Premises without liability therefor and fulfill Lessee's Tenant’s obligations, provided, however, Tenant may contest same in good faith, provided that such contest is made in a lawful manner. Lessee Tenant shall reimburse Lessor Landlord on demand for any expenses which Lessor Landlord may incur in effecting compliance with Lessee's Tenant’s obligations and agrees that Lessor Landlord shall not be liable for any damages resulting to Lessee Tenant from such action. Lessor Landlord shall have the right at all times to change and amend the rules Rules and regulations Regulations in any reasonable manner as it may deem advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Property or the Leased Premises. All changes and amendments to the rules Rules and regulations Regulations of the Property will be forwarded by Lessor Landlord to Lessee Tenant in writing and shall thereafter be carried out and observed by LesseeTenant.

Compliance with Laws, Rules and Regulations. Lessee, at Lessee's sole cost and expense, shall comply with all laws, ordinances, orders orders, rules and regulations now in effect or enacted subsequent to the date hereof of state, federal, municipal or other agencies or bodies having jurisdiction over Lessee or the use, condition or and occupancy of the Leased Premises. Lessee shall procure at its own expense all permits and licenses required for the transaction of its business in the Leased Premisesleased premises. Lessee will comply with the rules and regulations of the Property building adopted by Lessor which are set forth on a schedule attached to this Lease. If Lessee is not complying with such rules and regulations, or if Lessee is in any way not complying with this Article 3, then notwithstanding anything to the contrary contained herein, Lessor, may, at its election, enter the Leased Premises without liability therefor and fulfill Lessee's obligations. Lessee shall reimburse Lessor on demand for any expenses which Lessor may incur in effecting compliance with Lessee's obligations and agrees that Lessor shall not be liable for any damages resulting to Lessee from such action. Lessor shall have the right at all times to change and amend the rules and regulations in any reasonable manner as it may deem be deemed advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Property building or the Leased Premisesleased premises. All changes and amendments to the rules and regulations of the Property building will be forwarded sent by Lessor to Lessee in writing and shall thereafter be carried out and observed by Lessee. Should the building of which the leased premises are a part not be classified as a "commercial facility which is a place of public accommodations" as defined in Title III of the American With Disabilities Act of 1990 (the Act) on the date hereof, and Lessee's use, alterations or improvements thereafter causes the building to be classified as such, Lessee shall be responsible for and shall indemnify Lessor against any and all costs and expenses of Lessor associated with complying with the Act.

Compliance with Laws, Rules and Regulations. LesseeTenant, at LesseeTenant's sole cost and expense, shall comply with all not violate any laws, ordinances, orders orders, rules and regulations of state, federal, municipal or other agencies or bodies having jurisdiction over the use, condition or occupancy Tenant's use of the Leased Premises. Lessee Tenant shall procure at its own expense all permits and licenses required for the transaction of its business in the Leased Premises. Lessee Tenant will comply with the rules and regulations of the Property adopted by Lessor Landlord which are set forth on a schedule attached to this Lease. If Lessee Tenant is not complying with such rules and regulations, or if Lessee Tenant is in any way not complying with this Article 3, then then, notwithstanding anything to the contrary contained herein, Lessor, Landlord may, at its election, enter the Leased Premises without liability therefor and fulfill LesseeTenant's obligations. Lessee Tenant shall reimburse Lessor Landlord on demand for any expenses which Lessor Landlord may incur in effecting compliance with LesseeTenant's obligations and agrees that Lessor Landlord shall not be liable for any damages resulting to Lessee Tenant from such action. Lessor Landlord shall have the right at all times to change and amend the rules and regulations in any reasonable manner as it may deem advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Property or the Leased Premises. All changes and amendments to the rules and regulations of the Property will be forwarded by Lessor Landlord to Lessee Tenant in writing and shall thereafter be carried out and observed by LesseeTenant.

Compliance with Laws, Rules and Regulations. LesseeExcept as otherwise provided in this Section 11.C., from and after the Commencement Date, Tenant shall, at Lessee's its sole cost and expense, shall cause the Premises and Tenant’s use thereof to comply with all laws, ordinances, orders orders, rules and regulations of state, federal, municipal or other agencies or bodies having jurisdiction over the use, condition or occupancy of the Leased Premises. Lessee Any repairs, alterations or modifications to the exterior or structural elements of the Building or to the Common Areas of the Project necessary to comply with applicable laws shall procure at its own expense all permits be made by Landlord and licenses required shall be included within the definition of Operating Expenses and reimbursed to Landlord under Section 7 of this Lease, provided, however, Tenant shall be solely responsible and shall reimburse Landlord for the transaction entire cost and expense of its business in such work if compliance is necessary due to Tenant’s specific use or occupancy of the Leased PremisesPremises or due to Tenant’s acts or omissions, or as a result of any alterations, modifications or improvements to the Premises or Building constructed by or on behalf of Tenant. Lessee Tenant will also comply with the reasonable rules and regulations of the Property Project adopted by Lessor which are set forth on a schedule attached to this Lease. If Lessee is not complying with Landlord, provided such rules and regulations, or if Lessee is in any way regulations shall be applied equally to all Tenants and do not complying unreasonably interfere with this Article 3, then notwithstanding anything Tenant’s ability to the contrary contained herein, Lessor, may, at conduct its election, enter the Leased Premises without liability therefor and fulfill Lessee's obligationsbusiness. Lessee shall reimburse Lessor on demand for any expenses which Lessor may incur in effecting compliance with Lessee's obligations and agrees that Lessor shall not be liable for any damages resulting to Lessee from such action. Lessor Landlord shall have the right at all times times, upon thirty (30) days prior written notice to Tenant, to change and amend the rules and regulations in any reasonable manner as it may deem be deemed advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Property Project or the Leased Premises. All changes and amendments to the rules and regulations of the Property Project, and amendments or modifications thereof, will be forwarded sent by Lessor Landlord to Lessee Tenant in writing and shall thereafter be carried out and observed by LesseeTenant.

Compliance with Laws, Rules and Regulations. LesseeAuthority reserves the right to make other and further reasonable rules and regulations of general applicability as in its judgment may from time to time be needful for the safety and protection, care and cleanliness, and for the preservation of good order of the Premises and Airport properties, and Authority agrees that it will not discriminate against Tenant in its enforcement of such rules and regulations. Tenant will, at Lessee's its sole cost and expense, shall observe and comply with any such rules as enacted from time to time. Tenant will, at its sole cost and expense, observe and comply with any and all lawsvalid and applicable requirements of duly constituted public authorities and with all Federal, State, and local statutes, ordinances, orders rules, regulations, [together with all regulations, policies, and directives implemented by the Authority to comply with regulations relating to Airport Security as set forth in 49 CFR Parts 1540 & 1542 Transportation Security Regulations and 14 CFR Part 139 Federal Aviation Regulations] and standards applicable to Tenant, the Premises, and all other areas of the Airport as they currently exist or as they may be amended in the future. These requirements include all those now in force, or which may hereafter be in force, which shall impose any duty upon Authority or Tenant with respect to the use, occupation or alteration of the Premises, including but not limited to, reasonable rules and regulations of stateuniform application promulgated from time to time by or at the direction of Authority. Notwithstanding the foregoing, federalin the event that as a result of changes in the law, municipal or other agencies or bodies having jurisdiction over the use, condition or occupancy governmental policies regarding enforcement of the Leased law occurring after the date hereof, the Tenant is unable to lawfully occupy the Premises. Lessee shall procure , carry on the Uses at its own expense all permits and licenses the Premises or substantial amounts will be required for capital improvements to the transaction of its business Premises in the Leased Premises. Lessee will order to comply with such changes, the rules and regulations of the Property adopted by Lessor which are set forth on a schedule attached to this Lease. If Lessee is not complying with such rules and regulations, or if Lessee is in any way not complying with this Article 3, then notwithstanding anything to the contrary contained herein, Lessor, Tenant may, at its Tenant’s election, enter terminate this Lease, provided that no termination of the Leased Premises without liability therefor and fulfill Lessee's obligations. Lessee Lease shall reimburse Lessor on demand act to limit Tenant’s responsibility for any expenses which Lessor may incur in effecting compliance with Lessee's obligations and agrees that Lessor shall not be liable for Environmental Laws or Regulations. If any damages resulting to Lessee such termination results from such action. Lessor shall have a change in the right at all times to change and amend the rules and regulations in any reasonable manner as it may deem advisable for the safety, care, cleanliness, preservation of good order and operation law or use governmental policies regarding enforcement of the Property or law that was initiated by the Leased Premises. All changes and amendments Authority, then the Authority shall pay to Tenant the rules and regulations of the Property will be forwarded by Lessor to Lessee in writing and shall thereafter be carried out and observed by LesseeUndepreciated Leasehold Improvements Cost.

Compliance with Laws, Rules and Regulations. LesseeExcept as otherwise provided in this SECTION 11.C., during the Lease Term and the Extended Renewal Term, if any, Tenant shall, at Lessee's its sole cost and expense, shall cause the Premises and Tenant's use thereof to comply with all laws, ordinances, orders orders, rules and regulations of state, federal, municipal or other agencies or bodies having jurisdiction over the use, condition or occupancy of the Leased Premises, including without limitation, any repairs, alterations or modifications to the exterior or structural elements of the Building or to the Common Areas of the Project necessary to comply with applicable laws. Lessee Further, Tenant shall procure at its own expense all permits and licenses required be solely responsible for the transaction entire cost and expense of its business in any work required to comply with applicable laws due to Tenant's specific use or occupancy of the Leased PremisesPremises or due to Tenant's acts or omissions, or as a result of any alterations, modifications or improvements to the Premises or Building constructed by Tenant during the Lease Term and Renewal Term, if any. Lessee Upon not less than forty-five (45) days prior written notice to Tenant, Tenant will also comply with the reasonable rules and regulations of the Property Project adopted by Lessor which are set forth on a schedule attached to this LeaseLandlord. If Lessee is not complying with such rules and regulations, or if Lessee is in any way not complying with this Article 3, then notwithstanding anything to the contrary contained herein, Lessor, may, at its election, enter the Leased Premises without liability therefor and fulfill Lessee's obligations. Lessee Landlord shall reimburse Lessor on demand for any expenses which Lessor may incur in effecting compliance with Lessee's obligations and agrees that Lessor shall not be liable for any damages resulting to Lessee from such action. Lessor shall have thereafter have the right at all times times, upon forty-five (45) days prior written notice to Tenant, to change and amend the rules and regulations in any reasonable manner as it may deem be deemed advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Property Project or the Leased Premises. All changes and amendments to the rules and regulations of the Property Project, and amendments or modifications thereof, will be forwarded sent by Lessor Landlord to Lessee Tenant in writing and shall thereafter be carried out and observed by LesseeTenant.

Compliance with Laws, Rules and Regulations. LesseeTenant, at LesseeTenant's sole cost and expense, shall comply with all laws, ordinances, orders orders, rules and regulations of state, federal, municipal or other agencies or bodies having jurisdiction over the use, condition or and occupancy of the Leased Premises applying to or resulting from Tenant's specific use of the Premises. Lessee Landlord, at Landlord's sole cost and expense, shall procure at its own expense comply with all permits laws, ordinances, orders, rules and licenses required for regulations of state, federal, municipal or other agencies or bodies having jurisdiction over use, condition and occupancy of the transaction Premises which generally affect the Premises and do not apply to or result from Tenant's specific use of its business in the Leased Premises. Lessee Tenant will comply with the rules and regulations of the Property building and/or the project of which the Premises are a part, adopted by Lessor Landlord which are set forth on a schedule Exhibit "D", attached to this LeaseAgreement and hereby made a part hereof. If Lessee is not complying with such rules and regulations, or if Lessee is in any way not complying with this Article 3, then notwithstanding anything to the contrary contained herein, Lessor, may, at its election, enter the Leased Premises without liability therefor and fulfill Lessee's obligations. Lessee shall reimburse Lessor on demand for any expenses which Lessor may incur in effecting compliance with Lessee's obligations and agrees that Lessor shall not be liable for any damages resulting to Lessee from such action. Lessor Landlord shall have the right at all times to change and amend the rules and regulations in any reasonable manner as it may deem advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Property or Premises and the Leased Premisesbuilding and/or the project of which the Premises are a part. All changes and amendments to the such rules and regulations of the Property will be forwarded sent by Lessor to Lessee Landlord and Tenant in writing and shall thereafter be carried out and observed by LesseeTenant.

Compliance with Laws, Rules and Regulations. Lessee(a) Landlord represents that the Premises will comply with all applicable laws, regulations and codes at the Commencement Date. Thereafter, Tenant, at Lessee's Tenant’s sole cost and expense, shall comply with all laws, ordinances, orders orders, rules and regulations of state, federal, municipal or other agencies or bodies having jurisdiction over the use, condition or occupancy of the Leased Premises. Lessee Tenant shall procure at its own expense all permits and licenses required for the transaction of its business in the Leased Premises. Lessee will (b) The “Americans with Disabilities Act of 1990” (the “ADA”) is a federal law that prohibits discrimination on the basis of disability. The requirements of this act vary with the type of business the Tenant is engaged in and the number of employees the Tenant has both at this, and other locations. The Landlord is not qualified to determine which provisions of the ADA apply to Tenant. Therefore, the Tenant shall determine if the Premises complies with the accessibility guidelines under ADA and advise the Landlord if any physical modifications to this Premises are required to meet the Tenants needs under this law, or any other law, code or regulations. Modifications requested by Tenant to the Premises shall be made by the Landlord, and the Tenant shall pay Landlord the full cost of the modifications requested. The Tenant shall indemnify and hold harmless the Landlord and its agents and employees from and against all claims, damages, losses and expenses, including but not limited to reasonable Attorney’s fees, arising out of or resulting from the Tenants compliance or failure to comply with the rules and regulations of the Property adopted by Lessor which are set forth on a schedule attached to this LeaseADA or other laws, codes or regulations. If Lessee is not complying with such rules and regulations, or if Lessee is in any way not complying with this Article 3, then notwithstanding anything to the contrary contained herein, Lessor, may, at its election, enter the Leased Premises without liability therefor and fulfill Lessee's obligations. Lessee shall reimburse Lessor on demand for any expenses which Lessor may incur in effecting compliance with Lessee's obligations and agrees that Lessor Tenant shall not be liable responsible for any damages resulting to Lessee from such action. Lessor shall have ADA compliance in the right at all times to change and amend Common Areas or the rules and regulations exterior of the Building unless required in any reasonable manner as it may deem advisable for the safety, care, cleanliness, preservation of good order and operation or connection with Tenant’s use of the Property Premises or the Leased Premises. All changes and amendments to the rules and regulations of the Property will be forwarded by Lessor to Lessee in writing and shall thereafter be carried out and observed by Lesseeresulting from Tenant’s seeking a building permit.

Compliance with Laws, Rules and Regulations. LesseeTenant, at Lessee's Tenant’s sole cost and expense, shall comply with all laws, ordinances, orders orders, rules and regulations of any and all state, federal, municipal or and/or other agencies or and/or bodies having jurisdiction over the use, condition or occupancy of the Leased Premises, or which are applicable in the jurisdiction(s) in which the Property is located (all of the foregoing, the “Legal Requirements”). Lessee Tenant shall procure at its own expense all permits and licenses required for the transaction of its business in the Leased Premises. Lessee Tenant will comply with the rules Rules and regulations Regulations of the Property adopted by Lessor Landlord which are set forth on a schedule in Exhibit ”D” attached to this Lease. If Lessee Tenant is not complying with such rules the Rules and regulationsRegulations, or if Lessee Tenant is in any way not complying with any term or provision of this Article 3, then then, notwithstanding anything to the contrary contained herein, Lessor, Landlord may, at its election, enter the Leased Premises without liability therefor and fulfill Lessee's Tenant’s obligations, provided, however, Tenant may contest same in good faith, provided that such contest is made in a lawful manner. Lessee Tenant shall reimburse Lessor Landlord on demand for any expenses which Lessor Landlord may incur in effecting compliance with Lessee's Tenant’s obligations and agrees that Lessor Landlord shall not be liable for any damages resulting to Lessee Tenant from such action. Lessor Landlord shall have the right at all times to change and amend the rules Rules and regulations Regulations in any reasonable manner as it may deem advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Property or the Leased Premises. All changes and amendments to the rules Rules and regulations Regulations of the Property will be forwarded by Lessor Landlord to Lessee Tenant in writing and shall thereafter be carried out and observed by LesseeTenant.

Compliance with Laws, Rules and Regulations. LesseeAuthority reserves the right to make other and further reasonable rules and regulations of general applicability as in its judgment may from time to time be needful for the safety and protection, care and cleanliness, and for the preservation of good order of the Premises and Airport properties, and Authority agrees that it will not discriminate against Tenant in its enforcement of such rules and regulations. Tenant will, at Lessee's its sole cost and expense, shall observe and comply with any such rules as enacted from time to time. Tenant will, at its sole cost and expense, observe and comply with any and all lawsvalid and applicable requirements of duly constituted public authorities and with all Federal, State, and local statutes, ordinances, orders rules, regulations, [together with all regulations, policies, and directives implemented by the Authority to comply with regulations relating to Airport Security as set forth in 49 CFR Parts 1540 & 1542 Transportation Security Regulations and 14 CFR Part 139 Federal Aviation Regulations] and standards applicable to Tenant, the Premises, and all other areas of the Airport as they currently exist or as they may be amended in the future. These requirements include all those now in force, or which may hereafter be in force, which shall impose any duty upon Authority or Tenant with respect to the use, occupation or alteration of the Premises, including but not limited to, reasonable rules and regulations of stateuniform application promulgated from time to time by or at the direction of Authority. Notwithstanding the foregoing, federalin the event that as a result of changes in the law, municipal or other agencies or bodies having jurisdiction over the use, condition or occupancy governmental policies regarding enforcement of the Leased law occurring after the date hereof, the Tenant is unable to lawfully occupy the Premises. Lessee shall procure , carry on the Uses at its own expense all permits and licenses the Premises or substantial amounts will be required for capital improvements to the transaction of its business Premises in the Leased Premises. Lessee will order to comply with such changes, the rules and regulations of the Property adopted by Lessor which are set forth on a schedule attached to this Lease. If Lessee is not complying with such rules and regulations, or if Lessee is in any way not complying with this Article 3, then notwithstanding anything to the contrary contained herein, Lessor, Tenant may, at its Tenant’s election, enter terminate this Lease, provided that no termination of the Leased Premises without liability therefor and fulfill Lessee's obligations. Lessee Lease shall reimburse Lessor on demand act to limit Tenant’s responsibility for any expenses which Lessor may incur in effecting compliance with Lessee's obligations and agrees that Lessor shall not be liable for any damages resulting to Lessee from such action. Lessor shall have the right at all times to change and amend the rules and regulations in any reasonable manner as it may deem advisable for the safety, care, cleanliness, preservation of good order and operation Environmental Laws or use of the Property or the Leased Premises. All changes and amendments to the rules and regulations of the Property will be forwarded by Lessor to Lessee in writing and shall thereafter be carried out and observed by LesseeRegulations.

Compliance with Laws, Rules and Regulations. Lessee, at Lessee's sole cost and expense, shall comply with all laws, ordinances, orders rules and regulations of state, federal, municipal or other agencies or bodies having jurisdiction over the use, condition or occupancy of the Leased Premises. Lessee shall procure at its own expense all permits and licenses licenses, if any, required for the transaction of its business in the Leased Premises. Lessee will comply with the rules and regulations of the Property adopted by Lessor which are set forth on a schedule attached to this Lease. If Lessee is not complying with such rules and regulations, or if Lessee is in any way not complying with this Article 3, then notwithstanding anything to the contrary contained herein, Lessor, may, at its electionelection and after notice to Lessee and a reasonable opportunity to correct the non-compliance, enter the Leased Premises without liability therefor and fulfill Lessee's obligations. Lessee shall reimburse Lessor on demand for any expenses which Lessor may incur in effecting compliance with Lessee's obligations and agrees that Lessor shall not be liable for any damages resulting to Lessee from such action. Lessor shall have the right at all times to change and amend the rules and regulations in any reasonable manner as it may deem advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Property or the Leased Premises. All changes and amendments to the rules and regulations of the Property will be forwarded by Lessor to Lessee in writing and shall thereafter be carried out and observed by Lessee.

Compliance with Laws, Rules and Regulations. Lessee24.1 Tenant, at LesseeTenant's sole cost and own expense, (a) shall comply with all federal, state, municipal, fire underwriting and other laws, ordinances, orders orders, rules and regulations applicable to the Premises and the business conducted therein by Tenant, (b) shall not engage in any activity which would cause Landlord's fire and extended coverage insurance to be cancelled or the rate therefor to be increased (or, at Landlord's option, Tenant shall pay any such increase to Landlord immediately upon demand as additional rental in the event of such rate increase by reason of such activity), (c) shall not commit, and shall cause Tenant's agents, employees and invitees not to commit, any act which is a nuisance or annoyance to Landlord or to other tenants, or which might, in the exclusive judgment of Landlord, damage Landlord's goodwill or reputation, or tend to injure or depreciate the Building, (d) shall not commit or permit waste in the Premises or the Building, (e) shall not paint, erect or display any sign, advertisement, placard or lettering which is visible in the corridors or lobby of the Building or from the exterior of the Building without Landlord's prior written approval, and (f) shall not occupy or use, or permit any portion of the Premises to be occupied or used, for any business or purpose other than the Permitted Use specified in Paragraph 1.P. hereof. If a controversy arises concerning Tenant's compliance with any federal, state, federal, municipal or other agencies laws, ordinances, orders, rules or bodies having jurisdiction over regulations applicable to the usePremises and the business conducted therein by Tenant, condition or occupancy Landlord may retain consultants of the Leased Premises. Lessee shall procure at its own expense all permits and licenses required for the transaction of its business in the Leased Premises. Lessee will comply with the rules and regulations of the Property adopted by Lessor which are set forth on a schedule attached recognized standing to this Leaseinvestigate Tenant's compliance. If Lessee it is determined that Tenant has not complying with such rules and regulationscomplied as required, or if Lessee is in any way not complying with this Article 3, then notwithstanding anything to the contrary contained herein, Lessor, may, at its election, enter the Leased Premises without liability therefor and fulfill Lessee's obligations. Lessee Tenant shall reimburse Lessor Landlord on demand for any expenses which Lessor may incur all consulting and other costs incurred by Landlord in effecting compliance with Lessee's obligations and agrees that Lessor shall not be liable for any damages resulting to Lessee from such action. Lessor shall have the right at all times to change and amend the rules and regulations in any reasonable manner as it may deem advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Property or the Leased Premises. All changes and amendments to the rules and regulations of the Property will be forwarded by Lessor to Lessee in writing and shall thereafter be carried out and observed by Lesseeinvestigation.
