Compliance Certificate of Purchaser. The Purchaser shall have delivered to the Company and each of the Selling Shareholders a certificate, executed by the President of the Purchaser, dated the Closing Date, setting forth the Purchaser's representation and warranty that (i) each of the representations and warranties made by the Purchaser in this Agreement was accurate in all material respects as of the date of this Agreement, (ii) each of the representations and warranties made by the Purchaser in this Agreement and in each of the other Transaction Documents is accurate in all material respects as of the Closing, and (iii) each of the covenants and obligations that the Purchaser is required to have complied with or performed pursuant to this Agreement at or prior to the Closing has been duly complied with and performed in all material respects.
