Covenant Compliance Certificate definition

Covenant Compliance Certificate means a properly completed and executed Covenant Compliance Certificate substantially in the form of Exhibit X hereto.

Covenant Compliance Certificate means a certificate executed by a Principal Officer of the Company, containing a calculation of the financial covenants contained in Section 7 below and certifying that no Default or Event of Default has occurred, substantially in the form of Exhibit B attached hereto.

Covenant Compliance Certificate means a certificate in such form as may be acceptable to the Lender, containing all the financial covenants and ratios with which the Borrower is required to comply during the term of this Agreement and containing calculations reflecting whether or not the Borrower is in compliance with each such financial covenant or ratio.

Covenant Compliance Certificate means a certificate, in favor of the Agent, signed by the chief financial officer, corporate controller or treasurer of each Borrower and each Guarantor Subsidiary, substantially in the form of Exhibit F hereto, or in such other form as the Agent may reasonably request from time to time, which sets forth in reasonable detail the computations necessary to determine whether the Borrowers are in compliance with the financial covenants set forth in this Agreement for the relevant time period and the Applicable Margin.
