Covenant Compliance Certificate definition
Covenant Compliance Certificate means a properly completed and executed Covenant Compliance Certificate substantially in the form of Exhibit X hereto.
Covenant Compliance Certificate a certificate of the Chief Financial Officer of the Borrower substantially in the form of Exhibit E hereto.

More Definitions of Covenant Compliance Certificate
Covenant Compliance Certificate means a certificate in such form as may be acceptable to the Lender, containing all the financial covenants and ratios with which the Borrower is required to comply during the term of this Agreement and containing calculations reflecting whether or not the Borrower is in compliance with each such financial covenant or ratio.
Covenant Compliance Certificate means a certificate, in favor of the Administrative Agent, signed by the chief financial officer of the Borrower, substantially in the form of Exhibit F hereto, or in such other form as the Administrative Agent may reasonably request from time to time, which sets forth in reasonable detail the computations necessary to determine whether the Borrower and its Subsidiaries are in compliance with the financial covenants set forth in this Agreement for the relevant period.
Covenant Compliance Certificate means an officer’s certificate from Seller substantially in the form of Exhibit VI attached hereto.
