Company Stockholders’ Agreement. The Company Stockholders’ Agreement shall be in full force and effect as of the Effective Time and become effective in accordance with the respective terms thereof and the actions required to be taken thereunder by the parties thereto prior to the Effective Time shall have been taken.
Company Stockholders’ Agreement. Xxxxxx X. Xxxxxxx, Xxxxx X. Xxxxx and Xxxxx X. Xxxxx have executed and delivered to the Fund, concurrently with the execution of this Agreement, the Company Stockholders’ Agreement. The Company acknowledges and agrees to be bound by and comply with the provisions of Section 3.1(a) and (b) of the Company Stockholders’ Agreement as if a party thereto with respect to transfers of record of ownership of shares of the Company Common Stock, and agrees to notify the transfer agent for any Company Common Stock of such provisions.
Company Stockholders’ Agreement. As of the Effective Time, that certain stockholders’ agreement dated March 16, 2016, as amended (the “Stockholders’ Agreement”), by and among Xxxxxx Xxxxxx, Avon Road Partners, L.P., Xxxxx XxXxxxxx, Xxxxxxx Xxxxxx, Xxxxxxx XxXxxxxx and Xxxxx Xxxxxxxx shall be terminated.
Company Stockholders’ Agreement. The Company shall, prior to the Effective Time, cause the Company Stockholders Agreement to be terminated and no longer in effect.

The Company shall use its reasonable best efforts, on behalf of Parent and pursuant to the request of Parent, to cause each stockholder of the Company named on the signature pages to the Company Stockholders' Agreement to execute and deliver to Parent, concurrently with the execution of this Agreement, and to comply with, the Company Stockholders' Agreement. The Company acknowledges and agrees to be bound by and comply with the provisions of Section 3.1(a) and (b) of the Company Stockholders' Agreement as if a party thereto with respect to transfers of record of ownership of shares of the Company Common Stock, and agrees to notify the transfer agent for any Company Common Stock and provide such documentation and do such other things as may be necessary to effectuate the provisions of such Company Stockholders' Agreement.

The Company acknowledges and agrees to be bound by and comply with the provisions of Section 1.4 of the Stockholders Voting Agreement as if a party thereto with respect to transfers of ownership of shares of the Company Capital Stock, and agrees to notify the transfer agent for any Company Capital Stock and provide such documentation and do such other things as may be necessary to effectuate the provisions of such Stockholders Voting Agreement.
