Committee’s Discretion. Notwithstanding any provision of this Agreement to the contrary, the Committee shall have discretion under Section 6.02(e) of the Rules to adjust the Performance Cycle or waive the Restricted Period or any other restrictions or conditions with respect to all or a portion of the Restricted Shares at any time.
Committee’s Discretion. Notwithstanding any provision of this Agreement to the contrary, the Committee shall have discretion to waive any forfeiture of the Restricted Shares and any other conditions set forth in this Agreement, but only to the extent any such waiver of the forfeiture or condition is permitted by the terms of the Plan.
Committee’s Discretion. Notwithstanding any provision of this Agreement to the contrary, the Committee shall have discretion under Section 7.03 of the Plan to waive any forfeiture of the RSUs as set forth in Section 4 hereof, the Restricted Period and any other conditions set forth in this Agreement.
Committee’s Discretion. If the Committee has designated the Long-Term Performance Award as a Qualified Performance-Based Award, as defined in the Plan, then the Committee shall not exercise any discretion that it might otherwise have the ability to exercise under Section 9(c), or any other section, of the Plan in a way that would increase the amount of the Long-Term Performance Award in a manner that is inconsistent with the exemption for performance-based compensation set forth in Section 162(m) of the Code.
Committee’s Discretion. The Committee may exercise its discretion to reduce the amount of an award payable under this Agreement in a manner consistent with Section 162(m) of the Code.
Committee’s Discretion. Notwithstanding any provision of this Agreement to the contrary, the Committee shall have discretion to waive any forfeiture of the Units as set forth in Section 4 hereof, the Performance Period and any other conditions set forth in this Agreement.
Committee’s Discretion. The Committee may, in its sole and absolute discretion, increase or decrease the amount of an award otherwise payable under this Agreement.

Committee’s Discretion. The Committee shall have complete discretion ----------------------- to determine the circumstances of a Participant's termination of employment, including whether the same results from voluntary termination, permanent disability or involuntary termination by the Company, and the Committee's determination shall be final and binding on all parties and not subject to review or challenge by any Participant or other person.
Committee’s Discretion. The Committee irrevocable agrees that it shall not exercise any discretionary authority under the Plan to reduce the amount of an award payable under this Agreement in a manner that is inconsistent with preserving equity award treatment.
