Co-Documentation Agents and Co-Syndication Agents Clause Samples

Co-Documentation Agents and Co-Syndication Agents. None of the Co-Documentation Agents or the Co-Syndication Agents shall have any duties or responsibilities hereunder in its capacity as such.

Each Purchaser hereby appoints each of Bank of America and ▇▇▇▇▇ Fargo Foothill to be a Co-Syndication Agent and each of UBS and U.S. Bank to be a Co- Documentation Agent. To the extent any Purchaser is identified in this Transfer Agreement as a Co-Documentation Agent or a Co-Syndication Agent, such Purchaser shall not have any obligations, liabilities, responsibilities or duties under this Transfer Agreement or any other Related Document other than those applicable to all Purchasers in their individual capacities as such. Without limiting the foregoing, none of such Purchasers shall have or be deemed to have a fiduciary relationship with any other Purchaser or other Person as a result of such Purchaser’s appointment hereunder as a Co-Documentation Agent or a Co-Syndication Agent. Also without limiting the generality of the foregoing, GECC Capital Markets Group, Inc. shall have not have any obligations, liabilities, responsibilities or duties under this Agreement or any of the Related Documents whether as a Purchaser or otherwise.
Co-Documentation Agents and Co-Syndication Agents. Nothing in this Agreement shall impose upon the Co- Documentation Agents or the Co-Syndication Agents, in their respective capacities as such, any duty or obligation whatsoever.

No Co-Documentation Agent or Co-Syndication Agent shall have or be deemed to have any fiduciary relationship with any Lender. Each Lender acknowledges that it has not relied, and will not rely, on the Co-Documentation Agents or Co-Syndication Agents in deciding to enter into this Agreement or any other Loan Document or in taking or not taking any action hereunder or thereunder.
