Charges for Exchange or Transfer. The Corporation will from time to time promptly pay or make provision satisfactory to the Holder for the payment of any and all Taxes which may be imposed by Applicable Law with respect to the issuance or delivery of the Common Shares to the Holder upon the exercise of the Conversion Right.

Except as provided in Section 3.11, no charge shall be made for any registration of transfer or exchange of Bonds, but HRTAC or the Trustee may require payment by the Owner of the Bonds of a sum sufficient to cover any applicable tax or other governmental charge that may be imposed.

Subscription Receipt Certificates exchanged for Subscription Receipt Certificates that bear the legends set forth in Sections 2.14 and 2.15 shall bear the same legends, as applicable.
