Character of Employees 12. 2.1 Due to the nature of certain aspects of the Services and the position of trust which employees of the Service Provider will fulfill, the Service Provider hereby undertakes to use its best commercial endeavours to ensure that it only employs employees who are fit and proper persons who display the highest standards of personal integrity and honesty and who have not, to their knowledge, been convicted of any crime that carries a jail sentence without the option of paying a fine, or who fall within the category of persons contemplated in section 218(1)(c) and/or section 218(d) of the Companies Act, No 61 of 1973, as amended. 12.2.2 The Service Provider shall, at its own cost, conduct all reasonable background checks into employees prior to utilizing same to provide the Services to confirm compliance with clause 12.2.1.
